Enforcement ProceedingsIn the Matter of Anand SekaranOn November 30, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions (Order) against Anand Sekaran (Sekaran). On November 26, 2012, the Honorable Jesse M. Furman, United States District Judge for the Southern District of New York, entered a final judgment by consent against Sekaran in the civil action entitled Securities and Exchange Commission v. Anand Sekaran, et al., Civil Action No. 12-CV-8199 (S.D.N.Y.). The final judgment imposed permanent injunctions from future violations of the antifraud provisions of the federal securities laws. Sekaran is also required to pay $2.3 million to satisfy restitution and forfeiture orders in a related criminal matter. The Commission’s complaint alleged, inter alia, that Sekaran, as an investment adviser, engaged in fraudulent conduct, including making material misrepresentations to clients, providing fabricated and misleading account statements to clients, and misappropriating client funds. Based on the above, the Order bars Sekaran from association with any broker, dealer, investment adviser, municipal securities dealer, municipal adviser, transfer agent, or nationally recognized statistical rating organization; and from participating in any offering of a penny stock, including: acting as a promoter, finder, consultant, agent, or other person who engages in activities with a broker, dealer, or issuer for purposes of the issuance or trading any penny stock, or inducing or attempting to induce the purchase or sale of any penny stock. Sekaran consented to the issuance of the Order. (Rels. 34-68331; IA-3508; File No. 3-15114) In the Matter of the Registration Statement of Caribbean Pacific Marketing, Inc.On December 3, 2012, the Commission issued an Order Making Findings and Suspending the Effectiveness of Registration Statement Pursuant to Section 8(d) of the Securities Act of 1933 (Order) against Caribbean Pacific Marketing, Inc. The Order finds that Respondent Caribbean Pacific Marketing, Inc. filed a Form S-1 Registration Statement with the Commission to register an offering of securities under the Securities Act, which is materially misleading and deficient as it fails to disclose that William J. Reilly, a disbarred attorney subject to an injunction is a de factor executive officer and control person of the Respondent. The Registration Statement failed to include any information about Reilly’s position with Respondent and his business experience. Based on the above, the Order suspends the effectiveness of Caribbean Pacific Marketing, Inc.’s August 29, 2012 Registration Statement. Caribbean Pacific Marketing, Inc. consented to the issuance of the Order without admitting or denying any of the findings in the Order. Without admitting or denying the findings in the Order, except as to jurisdiction, which it admitted, Crystal Mountain consented to the entry of an Order Making Findings and Revoking Registration of Securities Pursuant to Section 12(j) of the Securities Exchange Act of 1934 as to Crystal Mountain, Inc. finding that it had failed to comply with Section 13(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 13a-1 and 13a-13 thereunder and revoking the registration of each class of Crystal Mountain’s securities pursuant to Section 12(j) of the Exchange Act. WatersOn December 3, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934 and Section 203(f) of the Investment Advisers Act of 1940, Making Findings, and Imposing Remedial Sanctions against Arnett L. Waters. The Order finds that Waters, a resident of Milton, Massachusetts and the president, chief executive officer, owner and former registered representative of A.L. Waters Capital, LLC, an investment adviser registered with the Commission, pled guilty on October 2, 2012 to two counts of criminal contempt before the United States District Court for the District of Massachusetts in SEC v. A.L. Waters Capital, LLC, et al., Case No. 12-CV-10873-DJC. The counts of the criminal information to which Waters pled guilty alleged that Waters had knowingly and willfully violated the Court’s preliminary injunction order by establishing an undisclosed bank account, transferring funds to that account, dissipating assets, and failing to disclose the bank account as required by the Court. Based on the above, the Order bars Waters from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization, and from participating in any offering of a penny stock, including: acting as a promoter, finder, consultant, agent or other person who engages in activities with a broker, dealer or issuer for purposes of the issuance or trading in any penny stock, or inducing or attempting to induce the purchase or sale of any penny stock. (Rels. 34-68334; IA-3509; File No. 3-15115) SEC Charges China Affiliates of Big Four Accounting Firms with Violating U.S. Securities Laws in Refusing to Produce DocumentsThe Securities and Exchange Commission today began administrative proceedings against the China affiliates of each of the Big Four accounting firms and another large U.S. accounting firm for refusing to produce audit work papers and other documents related to China-based companies under investigation by the SEC for potential accounting fraud against U.S. investors. The SEC charged the following firms with violating the Securities Exchange Act and the Sarbanes-Oxley Act, which requires foreign public accounting firms to provide the SEC upon request with audit work papers involving any company trading on U.S. markets:
According to the SEC’s order instituting the proceedings, SEC investigators have been making efforts for the past several months to obtain documents from these firms. The audit materials are being sought as part of SEC investigations into potential wrongdoing by nine China-based companies whose securities are publicly traded in the U.S. The audit firms have refused to cooperate in the investigations. “Only with access to work papers of foreign public accounting firms can the SEC test the quality of the underlying audits and protect investors from the dangers of accounting fraud,” said Robert Khuzami, Director of the SEC’s Division of Enforcement. “Firms that conduct audits knowing they cannot comply with laws requiring access to these work papers face serious sanctions.” An administrative law judge will schedule a hearing and determine the appropriate remedial sanction against the firms. The order requires the administrative law judge to issue an initial decision no later than 300 days from the date of service of the order. The SEC has launched an initiative to address concerns arising from reverse mergers and foreign issuers. Through the work of a Cross Border Working Group, the agency has deregistered the securities of nearly 50 companies and filed fraud cases against more than 40 foreign issuers and executives. The SEC’s Enforcement Division has taken a series of actions against China-based audit firms. Earlier this year, the SEC announced an enforcement action against Shanghai-based Deloitte Touche Tomatsu for refusing to produce documents for an SEC investigation into one of its China-based clients. That proceeding is ongoing. The SEC previously filed a subpoena enforcement action in federal court against the firm for failing to produce documents in response to a subpoena pertaining to its longtime client Longtop Financial Technologies Limited. In the separate administrative proceeding against Longtop, an administrative law judge found that Longtop was delinquent in its reporting obligations and ordered Longtop’s securities registration to be revoked. “U.S. investors should be able to rely on the quality of audited financial statements,” said Kara Brockmeyer, co-head of the SEC’s Cross Border Working Group. “Our Working Group’s actions demonstrate how the SEC is proactively identifying emerging risks to protect U.S. investors from accounting fraud.” This enforcement action was coordinated by the Cross Border Working Group and involved investigative teams in SEC offices in Washington D.C., Boston, New York, Fort Worth, and Los Angeles. Whittemore, United States District Judge for the Middle District of Florida in Tampa has entered final judgment against defendant Joseph P. Cillo (“Cillo”) of Dade City, Florida. The judgment permanently enjoins Cillo from further violations of Section 15(b)(6)(B)(i) of the Securities Exchange Act of 1934 (“Exchange Act”), imposes a statutory penny stock bar on him pursuant to Section 21(d)(6) of the Exchange Act, and orders that he pay disgorgement in the amount of $20,000 with prejudgment interest thereon in the amount of $1.124.50 within 30 days. In addition, Cillo was ordered to pay a civil penalty in the amount of $60,000 within 30 days. Cillo consented to the final judgment without admitting or denying the allegations of the Commission’s complaint. The Complaint alleged that in November 2007, through a reverse merger with a penny-stock shell company, Cillo became the CEO and controlling shareholder of eFUEL EFN Corp. (“eFUEL”), a purported web development company then based in Tampa, Florida and listed on the OTC Market Group’s “OTC Pink” market tier (formerly the “Pink Sheets”) under the symbol “EFUL.” It further alleged that in connection with an ongoing market manipulation investigation involving eFUEL and other related entities and individuals, the SEC determined that Cillo engaged in various activities related to, and for the purpose of, issuing, trading, and inducing the purchase of eFUEL’s stock. Specifically, Cillo (1) offered and/or issued hundreds of millions of shares of eFUEL stock to third-parties as purported payment for debts and services, (2) drafted and approved multiple press releases touting the company’s business plan and development prospects, and (3) prepared, signed, and submitted periodic reports to the OTC Markets Group in order to comply with the Pink Sheets’ minimal requirements for “adequate current information.” These activities constituted violations of a 1995 Commission order which barred Cillo from participating in the offering of any penny stock. Bass and His CompaniesThe Securities and Exchange Commission announced that on October 26, 2012, the Honorable Lawrence E. Kahn, United States District Court Judge for the Northern District of New York, entered a final judgment against Defendants Christopher W. Bass, Swiss Capital Harbor-USA, LLC, Swiss Capital Harbor Fund A Partners, L.P., Swiss Capital Harbor Fund B Partners, L.P. and Swiss Capital Harbor Fund C Partners, L.P. (collectively, the “Defendants”). The final judgment amends the default judgment previously ordered by the Court on September 14, 2011, permanently enjoining the Defendants from future violations of Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933, and Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The final judgment also holds the Defendants jointly and severally liable for total combined disgorgement and prejudgment interest of $5,203,054. This sum is deemed satisfied by the criminal restitution order entered against Defendant Bass in his parallel criminal case, U.S. v. Christopher Bass, 10-cr-166 (N.D.N.Y) (LEK).
