Commission Announcements
SEC Names Thomas Butler as Director of New Office of Credit Ratings
The Securities and Exchange Commission today announced that Thomas J. Butler has been appointed Director of the agency’s new Office of Credit Ratings.
The SEC’s Office of Credit Ratings was created by the Dodd-Frank Act and is responsible for overseeing the nine registered Nationally Recognized Statistical Rating Organizations (NRSROs). Required among these responsibilities is conducting an annual exam of each credit rating agency and issuing a public report.
Mr. Butler will oversee a staff of approximately 25 lawyers, accountants, and examiners responsible for examining and monitoring the NRSROs. Mr. Butler begins work on June 18.
“Tom’s background and experience will bolster the agency’s oversight and review of credit rating agencies,” said SEC Chairman Mary L. Schapiro.
Mr. Butler said, “I am honored to accept this new position and look forward to working with my new colleagues to carry out the regulatory requirements to oversee credit rating agencies.”
Throughout his career, Mr. Butler has served in leadership positions through which he gained extensive knowledge about the role of credit rating agencies in the financial services sector. He spent 14 years working at Morgan Stanley Smith Barney and its predecessors including Citi Global Wealth Management, where he held senior executive positions for several business units. Mr. Butler was a managing director and chief operating officer for the Investment Strategy, Investment Advisory, Global Investments and Public Sector Group units. Earlier in his career, Mr. Butler worked at UBS Securities LLC, Babcock & Brown Inc., and two major law firms.
Mr. Butler received his J.D. from Rutgers University School of Law at Newark and his B.A. from Rutgers College.
Prior to the creation of the Office of Credit Ratings, the NRSRO examinations required under Dodd-Frank were conducted by the SEC’s Office of Compliance Inspections and Examinations, which issued the first public report regarding the annual examinations on Sept. 30, 2011. (Press Rel. 2012-113)
Director of Division of Investment Management Eileen Rominger to Retire
The Securities and Exchange Commission today announced that Eileen Rominger, Director of the Division of Investment Management, will be retiring in July.
The SEC’s Division of Investment Management protects investors and promotes capital formation through oversight and regulation of the nation’s multi-trillion dollar investment management industry. During Ms. Rominger’s tenure, the Division has been instrumental in implementing the Dodd-Frank Act’s mandates regarding advisers to hedge funds and other private funds.
“Eileen understood the importance of a fair and efficient investment management industry to the well-being of investors everywhere. Her practical insights and steady leadership served investors well,” said SEC Chairman Mary L. Schapiro.
Ms. Rominger said, “It has been a privilege to work with the talented and dedicated staff of the SEC in its mission of protecting investors.”
In the 30-year period before arriving at the SEC, Ms. Rominger worked as a portfolio manager and a leader of portfolio management teams, serving investors and being held accountable to mutual fund boards of directors in those roles. Until 2010, Ms. Rominger worked at Goldman Sachs Asset Management for 11 years, serving most recently as the firm’s global chief investment officer. She previously worked for 18 years at Oppenheimer Capital, where she was a portfolio manager, managing director, and a member of the Executive Committee.
Ms. Rominger received a BA in English from Fairfield University and an MBA in Finance from the Wharton School of Business at the University of Pennsylvania. (Press Rel. 2012-114)

Enforcement Proceedings
In the Matter of Matthew H. Kluger
On June 14, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Rule 102(e) of the Commission’s Rules of Practice, Making Findings, and Imposing Remedial Sanctions (Order) against Matthew H. Kluger. The Order finds that on May 2, 2012, a final judgment was entered by consent against Kluger, permanently enjoining him from future violations of Sections 10(b) and 14(e) of the Securities Exchange Act of 1934 and Rules 10b-5 and 14e-3 thereunder. Furthermore, the Order finds that on December 14, 2011, Kluger pled guilty to conspiracy to commit securities fraud, securities fraud, conspiracy to commit money laundering, and obstruction of justice before the United States District Court for the District of New Jersey, in United States v. Matthew H. Kluger, No. 2:11-cr-00858. The Order also finds that the Commission alleged in its complaint that Kluger engaged in a long-standing serial insider trading scheme along with two others: Kenneth T. Robinson, who was identified only as the “middle man”, and Garrett D. Bauer. Over the course of several years, Kluger repeatedly accessed material nonpublic information about pending mergers and acquisitions from the computer system of his former employer, Wilson Sonsini Goodrich & Rosati (Wilson Sonsini), and passed that information to his friend, Robinson, who served as the middle man, and further passed along the information to Bauer to place trades for the benefit of Kluger and Robinson. Robinson also traded for himself and Kluger in two instances. From at least April 2006 through February 2011, based on nonpublic information that Kluger obtained from Wilson Sonsini, Bauer and/or Robinson traded in advance of at least eleven pending mergers and acquisitions involving companies that were advised by Wilson Sonsini, and the trio realized over $32 million in ill-gotten gains.
Based on the above, the Order suspends Kluger from appearing or practicing before the Commission as an attorney. Kluger consented to the issuance of the Order. (Rel. 34-67204; File No. 3-14918)
In the Matter of Garrett D. Bauer
On June 14, 2012, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Section 15(b) of the Securities Exchange Act of 1934, Making Findings, and Imposing Remedial Sanctions (Order) against Garrett D. Bauer. The Order finds that on May 1, 2012, a final judgment was entered by consent against Bauer, permanently enjoining him from future violations of Sections 10(b) and 14(e) of the Securities Exchange Act of 1934 and Rules 10b-5 and 14e-3 thereunder. Furthermore, the Order finds that on December 8, 2011, Bauer pled guilty to conspiracy to commit securities fraud, securities fraud, conspiracy to commit money laundering, and obstruction of justice before the United States District Court for the District of New Jersey, in United States v. Garrett D. Bauer, No. 2:11-cr-00842. The Order also finds that the Commission alleged in its complaint that Bauer engaged in a long-standing serial insider trading scheme along with two others: Mathew H. Kluger, a lawyer who over the course of several years repeatedly accessed material nonpublic information about pending mergers and acquisitions from the computer system of his former employer, Wilson Sonsini Goodrich & Rosati (Wilson Sonsini) and Kenneth T. Robinson, identified in the complaint only as the “middle man”, who was Kluger’s friend and who passed along the information to Bauer (and later traded on it himself in two instances). From at least April 2006 through February 2011, based on nonpublic information that Kluger obtained from Wilson Sonsini, Bauer traded in advance of at least nine pending mergers and acquisitions involving companies that were advised by Wilson Sonsini, and realized over $30 million in ill-gotten gains.
Based on the above, the Order bars Bauer from association with any broker, dealer, investment adviser, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization, and bars him from participating in any offering of penny stock, including: acting as a promoter, finder, consultant, agent or other person who engages in activities with a broker, dealer or issues for purposes of the issuance or trading in any penny stock, or inducing or attempting to induce the purchase or sale of any penny stock. In the Matter of American United Gold Corporation
An Administrative Law Judge issued an Initial Decision as to AMS Homecare Inc., (AMS Homecare) in American United Gold Corporation, Admin. Proc. 3-14770. AMS Homecare, an issuers of securities registered pursuant to Section 12(g) of the Securities Exchange Act of 1934 (Exchange Act), failed to comply with Section 13(a) of the Exchange Act and Exchange Act Rules 13a-1 and 13a-13 by failing to file required periodic reports with the Securities and Exchange Commission since 2007. The Administrative Law Judge revoked the registration of each class of AMS Homecare’s registered securities. (Initial Decision No. 460; File No. 3-14770)
In the Matter of Alchemy Ventures, Inc., Mark H. Rogers, and Steven D. Hotovec
The Securities and Exchange Commission (SEC) today issued an Order Making Findings and Imposing Remedial Sanctions and Cease-and-Desist Orders Pursuant to Sections 15(b) and 21C of the Securities Exchange Act of 1934 (Order) as to Alchemy Ventures, Inc. (Alchemy), a San Mateo, California based electronic trading firm, its President Mark H. Rogers of San Carlos, California, and its Vice President Steven D. Hotovec of Redwood City, California.
The Order finds that Alchemy acted as a broker without SEC registration in willful violation of Section 15(a) of the Securities Exchange Act of 1934 (Exchange Act) by extending sponsored market access to traders through Alchemy’s brokerage account, and that Rogers and Hotovec willfully aided and abetted and caused Alchemy’s violation. According to the Order, one of the traders was an individual who used the market access to profit from an account intrusion and market manipulation scheme. Alchemy, Rogers, and Hotovec, without admitting or denying the SEC’s findings, each agreed to the issuance of the Order, which orders Alchemy to disgorge profits and prejudgment interest totaling $31,017.18, orders Alchemy to pay a civil penalty of $75,000, orders Rogers and Hotovec each to pay a civil penalty of $35,000, censures Alchemy, Rogers, and Hotovec and orders them to cease and desist from committing or causing any violations and any future violations of Section 15(a) of the Exchange Act. In the Matter of Andrey C. Hicks
An Administrative Law Judge has issued an Order Making Findings and Imposing Sanctions by Default (Default Order) in Andrey C. Hicks, Admin. Proc. File No. 3-14832. The Order Instituting Proceedings (OIP) alleged that Respondent Andrey C. Hicks (Hicks) violated the antifraud provisions of the federal securities laws by engaging in a scheme to defraud potential investors in a non-existent pooled investment fund through the use of numerous material misrepresentations. On March 20, 2012, the United States District Court for the District of Massachusetts entered a final judgment against Hicks by default in SEC v. Hicks, 1:11-CV-11888-RGS, permanently enjoining him from future violations of Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder, and Section 206(4) of the Investment Advisers Act of 1940 (Advisers Act) and Rule 206(4)-8 thereunder. The district court further ordered Hicks to disgorge approximately $2.5 million in illegally-obtained profits and pay a civil penalty of more than $2.5 million.
The Default Order finds the allegations of the OIP to be true and concludes that, pursuant to Section 203(f) of the Advisers Act, it is in the public interest to bar Hicks from association with an investment adviser, broker, dealer, municipal securities dealer, municipal advisor, transfer agent, or nationally recognized statistical rating organization. Immediate Effectiveness of Proposed Rule Changes
A proposed rule change filed by NYSE MKT LLC amending Commentary .10 to Exchange Rule 903 allowing the NYSE Amex Options to open Short Term Option Series that are opened by other securities exchanges in option classes selected by other exchanges under their respective Short Term Option rules (SR-NYSEMKT-2012-08) has become effective pursuant to Section 19(b)(3)(A) of the Securities Exchange Act of 1934. A proposed rule change (SR-ISE-2012-54) filed by the International Securities Exchange, LLC relating to the extension of the Price Improvement Mechanism pilot program has become effective under Section 19(b)(3)(A) under the Securities Exchange Act of 1934.
