Former Banco Santander Analyst Agrees to Settle Insider Trading Charges

On April 25, 2011, the Securities and Exchange Commission announced that former Banco Santander S.A. analyst Juan Jose Fernandez Garcia of Madrid, Spain, has agreed to pay more than $625,000 to settle insider trading charges against him.  The SEC accused Garcia in August 2010 of illegally trading in advance of a corporate takeover by a company that Santander advised.

The settlement with Garcia requires the approval of U.S. District Judge Marvin J. Aspen in the Northern District of Illinois. 

“This concludes our emergency action against Garcia and demonstrates that the Commission will act swiftly to prevent foreign citizens who commit fraud in the U.S. securities markets from reaping the profits of their illegal activity,” said Daniel M. Hawke, Chief of the Enforcement Division’s Market Abuse Unit.

The SEC filed an emergency court action on Aug. 20, 2010, against Garcia and another trader in Spain and obtained an ex parte temporary restraining order and asset freeze over the funds held in Garcia’s brokerage account at Interactive Brokers LLC.  The SEC alleged that Garcia just days earlier had traded on the basis of material, nonpublic information about a multi-billion dollar cash tender offer by BHP Billiton Plc to acquire Potash Corp. of Saskatchewan Inc.  At the time, Garcia was the head of a research arm at Santander, a Spanish banking group advising BHP on its bid.  Garcia purchased 282 call option contracts for Potash stock in the days leading up to the public announcement, and immediately sold all of his options following the announcement for illicit profits of $576,033.  

Without admitting or denying the SEC’s allegations, Garcia agreed to the entry of a final judgment permanently enjoining him from future violations of Sections 10(b) and 14(e) of the Exchange Act and Exchange Act Rules 10b-5 and 14e-3, and ordering him to pay disgorgement of $576,033 and a penalty of $50,000. 

The SEC’s charges against the other trader, Luis Martin Caro Sanchez, remain pending.

The SEC litigation is being handled by Jonathan Polish, James Lundy, Frank Goldman and Dee O’Hair of the Chicago Regional Office.  Goldman and O’Hair work in the Market Abuse Unit.

Securities and Exchange Commission Orders Hearing on Registration Suspension or Revocation Against Eight Public Companies for Failure to Make Required Periodic Filings

Today the Commission instituted public administrative proceedings to determine whether to revoke or suspend for a period not exceeding twelve months the registrations of each class of the securities of eight companies for failure to make required periodic filings with the Commission:

  • Commercial Mortgage Resources Corp.
  • Compressant Corp.
  • Compression Labs, Inc.
  • Consolidated Golden Quail Resources, Ltd.
  • Consolidated NRD Resources Ltd.
  • Contemporary Solutions, Inc. (n/k/a Purescience)
  • Continental Heritage Corp. (n/k/a Visionquest Worldwide Holdings Corp.)
  • Corniche Corp.

In this Order, the Division of Enforcement (Division) alleges that the eight issuers are delinquent in their required periodic filings with the Commission.

In this proceeding, instituted pursuant to Exchange Act Section 12(j), a hearing will be scheduled before an Administrative Law Judge. At the hearing, the Administrative Law Judge will hear evidence from the Division and the Respondents to determine whether the allegations of the Division contained in the Order, which the Division alleges constitute failures to comply with Exchange Act Section 13(a) and Rules 13a-1 and 13a-13 or 13a-16 thereunder, are true. The Administrative Law Judge in the proceeding will then determine whether the registrations pursuant to Exchange Act Section 12 of each class of the securities of these Respondents should be revoked or suspended for a period not exceeding twelve months. The Commission ordered that the Administrative Law Judge in this proceeding issue an initial decision not later than 120 days from the date of service of the order instituting proceedings. Court Enters Final Judgment Against FLIR Systems, Inc. Former CEO

The U.S. Securities and Exchange Commission announced today that on April 14, 2011, the United States District Court for the District of Oregon entered a Final Judgment against J. Kenneth Stringer III in a pending civil action. The Final Judgment enjoins Stringer from violations of Sections 17(a)(2) and (a)(3) of the Securities Act of 1933 and Rules 13b2-1 and 13b2-2 of the Securities Exchange Act of 1934. In addition, the Court ordered Stringer to pay a civil penalty of $90,000 and permanently barred him from serving as an officer or director of a reporting company.

The Commission filed its complaint against Stringer on Sept. 30, 2002; however, that litigation was stayed until Sept. 3, 2010, following the resolution of the criminal action against Stringer. According to the Commission’s Complaint, FLIR Systems Inc.’s year-end 1998 and quarterly 1999 earnings releases, periodic filings, and registration statements materially overstated earnings. The Complaint alleges that FLIR’s misstatements were the result of numerous improper revenue recognition practices carried out by Stringer and other FLIR executives. The Commission also alleged that Stringer signed a false management representation letter to FLIR’s independent auditor during the 1998 audit. Jackson National Life Insurance Company, et al.

An order has been issued pursuant to Section 6(c) of the Investment Company Act to Jackson National Life Insurance Company (Jackson), Jackson National Separate Account - I, Jackson National Life Insurance Company of New York (JNLNY), JNLNY Separate Account I, and Jackson National Life Distributors LLC, granting exemptions from the provisions of Sections 2(a)(32), 22(c), and 27(i)(2)(A) of the Act and Rule 22c-1 thereunder, to the extent necessary to permit recapture under specified circumstances of certain contract enhancements applied to purchase payments made under deferred variable annuity contracts issued and to be issued by Jackson and JNLNY.
