The Interactive Data Roundtable will take place on June 12, 2006, from 9:30 a.m. to 3:00 p.m. at the Commission's headquarters in Washington, D.C. (Press Rel. 2006-90) SEC CHAIRMAN COX URGES OPTIONS EXCHANGES TO START LIMITED PENNY QUOTING SEC Chairman Christopher Cox today sent a letter to the six options exchanges urging them to begin quoting a limited number of options in pennies on a pilot basis beginning on Jan. 29, 2007. Options are currently quoted in increments of nickels and dimes. "Quoting in penny increments will benefit investors by allowing options quotes and orders to be expressed at better prices, and has the potential to enhance further the already strong competition and innovation that exists in the options markets," Chairman Cox said. Several of the options exchanges and their members recently have expressed interest in individually beginning to quote options in penny increments. Quoting options in pennies will increase quote message traffic, which the systems of exchanges, market data vendors and securities firms must be able to manage. For this reason, quoting options in pennies would begin in a small number of options. Penny quoting could be expanded after the Commission and others have a chance to study its impact on market quality and systems capacity. (Press Rel. 2006-91) ENFORCEMENT PROCEEDINGS IN THE MATTER OF NEVANNA SACKS, CPA, RESPONDENT On June 7, the Commission issued an Order Instituting Administrative Proceedings Pursuant to Rule 102(e) of the Commission's Rules of Practice, Making Findings and Imposing Remedial Sanctions (Order) against Nevanna Sacks, CPA. The Order finds that Sacks engaged in improper professional conduct by repeatedly engaging in unreasonable conduct. Sacks was the audit manager on Arthur Andersen LLP's (Andersen) audit of the fiscal year 2001 financial statements of Peregrine Systems, Inc. and on Andersen's reviews of Peregrine's quarterly financial statements for the first, second and third quarters of 2002. Sacks' improper professional conduct included, among other things, failing to adequately audit Peregrine's accounts receivable and failing to obtain sufficient competent evidence to conclude that Peregrine had a history of collecting on agreements the company entered into with resellers. The Commission has accepted Sacks' offer to settle the Order by consenting to a bar from appearing or practicing before the Commission as an accountant with the right to request reinstatement in two years. (Rel. 34-53953; AAE Rel. No. 2441; File No. 3-12326) SEC V. JOSEPH MICATROTTO, SR. The Commission today announced the filing of a settled civil injunctive action against Joseph P. Micatrotto, Sr. (Micatrotto), the former Chief Executive Officer, President, and Chairman of the Board of Buca, Inc. (Buca), the corporate parent of the Buca di Beppo and Vinny T's of Boston national restaurant chains. The Commission's complaint, filed today in federal court in Minneapolis, alleges that Micatrotto received undisclosed compensation and participated in undisclosed related party transactions. Specifically, the Commission's complaint alleges that from 2000 to 2003, Micatrotto obtained undisclosed compensation in the amount of $849,100 by improperly billing Buca for a variety of personal and non- business expenses. The complaint charges that Micatrotto improperly sought and obtained reimbursement for, among other things, $131,000 in ATM withdrawals; $127,000 in airline tickets submitted for reimbursement multiple times; the entire bill for the groom's dinner at his son's wedding; and other personal expenses, including dog kenneling and the remodeling of his homes in California, Las Vegas and Minneapolis. The complaint further alleges that, since these payments were for personal expenses, not legitimate business expenses, they constituted additional compensation to Micatrotto that should have been reflected in Buca's proxy statements. According to the Commission's complaint, Buca's proxy statements failed to disclose any of these payments as additional compensation to Micatrotto. As a result, Buca's proxy statements for this time period understated Micatrotto's annual compensation by amounts ranging from 27% to 74%. The Commission's complaint further alleges that Buca's public filings, which Micatrotto reviewed and approved, failed to disclose two related party transactions involving Micatrotto. First, Micatrotto sought reimbursement from Buca for his purchase and renovation of an Italian villa titled in Micatrotto's and his wife's names. Second, Micatrotto deposited into his personal bank account a payment of $65,000 from one of Buca's vendors, even though this payment was intended as a contribution towards one of Buca's corporate conferences. Upon the filing of the Commission's complaint, and without admitting or denying the allegations in the complaint, Micatrotto consented to the entry of a final judgment permanently enjoining him from violating Section 17(a) of the Securities Act of 1933 (Securities Act), Sections 10(b), 13(b)(5), and 14(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5, 13a-14, 13b2-1, 13b2-2, 14a-3, and 14a-9 thereunder and aiding and abetting Buca's violations of Sections 13(a), 13b(2)(A), and 13(b)(2)(B) of the Exchange Act and Rules 12b- 20, 13a-1, and 13a-13 thereunder. Micatrotto also agreed to be barred from acting as an officer or director of a publicly-traded company and to pay disgorgement of $65,000 plus prejudgment interest and a civil penalty of $500,000. The Commission and the U.S. Attorney's Office for the District of Minnesota conducted parallel investigations of this matter. Simultaneous with the Commission's announcement of this action, the U.S. Attorney's Office announced the filing of wire fraud charges against Micatrotto. [SEC v. Joseph P. GREG GADEL AND DANIEL SKRYPEK The Commission today announced that it filed an enforcement action against two former officers of Buca, Inc. (Buca), the corporate parent of the Buca di Beppo and Vinny T's of Boston national restaurant chains. The Commission's complaint, filed today in federal court in Minneapolis, alleges that Greg A. Gadel (Gadel), Buca's former Chief Financial Officer, and Daniel J. Skrypek (Skrypek), Buca's former Controller, caused various misstatements and omissions in Buca's public filings. As a result of Gadel and Skrypek's conduct, Buca's public filings understated the compensation paid to Gadel and Buca's former CEO and failed to disclose related party transactions. In addition, Gadel and Skrypek engaged in a financial statement fraud that resulted in the material overstatement of Buca's income in its financial statements. According to the Commission's complaint, due to Gadel and Skrypek's conduct, Buca's public filings materially understated the executive compensation received by Gadel and Joseph Micatrotto, Sr. (Micatrotto), Buca's former CEO. The Commission's complaint alleges that from 2000 to 2003, Gadel received approximately $96,630 in undisclosed compensation from Buca, including reimbursements for family vacations and visits to strip clubs. The complaint also alleges that from 2000 to 2003, Gadel and Skrypek routinely approved Micatrotto's inappropriate requests for reimbursement of a wide variety of personal and non-business expenses resulting in undisclosed compensation to Micatrotto of $849,100. The complaint further alleges that Gadel and Skrypek knew about and failed to ensure disclosure of a series of related party transactions totaling more than $1 million between Buca and an information technology company of which Gadel was a director and shareholder. Gadel and Skrypek also failed to ensure disclosure of a related party transaction in which Micatrotto used Buca's funds to purchase an Italian villa titled in Micatrotto's and his wife's names. Finally, the Commission's complaint alleges that Gadel and Skrypek directed a scheme to meet Buca's earnings targets by improperly inflating Buca's income by nearly $12 million from 2000 to 2004 through the improper capitalization of numerous expenses. This fraudulent scheme caused Buca to overstate its annual income in amounts ranging from 18.8% to 36.9%. The Commission's complaint charges Gadel and Skrypek with violating Section 17(a) of the Securities Act of 1933 (Securities Act), Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5, 13b2-1, and 13b2-2 thereunder and aiding and abetting Buca's violations of Sections 13(a), 13(b)(2)(A), 13(b)(2)(B), and 14(a) of the Exchange Act and Rules 12b-20, 13a-1, 13a-13, 14a-3, and 14a-9 thereunder. The complaint also alleges that Gadel violated Rule 13a-14 under the Exchange Act. In its complaint, the Commission seeks permanent injunctions, disgorgement, civil penalties, and officer and director bars against Gadel and Skrypek. The Commission and the U.S. Attorney's Office for the District of Minnesota conducted parallel investigations of this matter. No. 2439; Press Rel. 2006-89) SEC CHARGES BRADY SCHOFIELD WITH AIDING AND ABETTING FINANCIAL FRAUD AT U.S. FOODSERVICE SUBSIDIARY OF ROYAL AHOLD Schofield Also Agrees To Pay $728,232 to Settle Related Insider Trading Charges The Commission today filed a settled civil action against Brady M. Schofield, alleging that he aided and abetted a massive financial fraud by signing and sending false audit confirmations to the auditors of U.S. Foodservice, Inc., a subsidiary of Royal Ahold (Koninklijke Ahold N.V.). Schofield was also charged with insider trading. The Commission's complaint alleges that U.S. Foodservice personnel contacted vendors and urged them to sign and return the false confirmation letters. In some cases U.S. Foodservice pressured the vendors; in other cases they provided side letters to the vendors assuring the vendors that they did not owe U.S. Foodservice the amounts reflected as outstanding in the confirmation letters. The letters clearly stated that the confirmations were being used in connection with the annual audit and the letters directed the defendants to return the confirmations directly to the company's auditors. Schofield, who owned and operated several companies that supplied U.S. Foodservice, aided and abetted the fraud by signing and sending to the company's independent auditors confirmation letters that he knew materially misstated the amounts of promotional allowance income paid or owed to U.S. Foodservice. The amounts misstated in the relevant confirmations were wrong by millions of dollars and, in some instances, by more than 100%. The complaint further alleges that U.S. Foodservice engaged in a scheme to report earnings equal to or greater than its targets, regardless of the company's true performance. U.S. Foodservice inflated its promotional allowance income by at least $700 million for fiscal years 2001 and 2002 and thereby caused Ahold to report materially false operating and net income for these periods. The annual audit confirmation process at U.S. Foodservice was systematically corrupted to help keep the fraud from being discovered. The Commission's complaint against Schofield also alleges that during February and March of 2000, after learning of material, nonpublic information about Ahold's intention to acquire U.S. Foodservice, Schofield traded in the shares of U.S. Foodservice. The complaint alleges that he made illegal profits of approximately $299,206.40. Schofield has agreed to settle the Commission's action, without admitting or denying the allegations in the complaint, by consenting to a judgment permanently enjoining him from violating Sections 10(b) and 14(e) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5 and 14e-3 thereunder and from aiding and abetting any violation of Sections 10(b), 13(a), 13(b)(2)(A), 13(b)(2)(B), and 13(b)(5) of the Exchange Act and Rules 10b-5 and 13b2-1 thereunder. The judgment orders Schofield to disgorge illegal trading profits of $299,206.40, pay prejudgment interest of $129,820.14, and pay a civil monetary penalty of $299,206.40 for insider trading. The judgment further orders Schofield to pay a separate civil monetary penalty of $25,000 for signing false audit confirmation letters. In a related action, the U.S. Attorney's Office for the Southern District of New York also announced that it has filed criminal charges against Schofield for insider trading and conspiracy to falsify books and records. The Commission's investigation is continuing.
