OPEN MEETING - WEDNESDAY, DECEMBER 11, 2002 - 10:00 A.M. The subject matter of the open meeting scheduled for Wednesday, Dec. 11, will be: 1. The Commission will consider whether to adopt the repeal of Rule 11Ac1-7 under the Securities Exchange Act of 1934. Rule 11Ac1-7 requires a broker-dealer to disclose to its customer when the customer's order for listed options is executed at a price inferior to a better published quote, and to disclose the better published quote available at that time, unless the broker-dealer effects the transaction on an exchange that participates in an approved linkage plan. 2. The Commission will consider whether to propose amendments to Forms N-1A, N-2, N-3, proposed Form N-CSR, and Articles 6 and 12 of Regulation S-X as well as new rule 30b1-4 and new Form N-Q under the Investment Company Act. The proposals would (1) require a registered management investment company to file a schedule of its complete portfolio holdings with the Commission on a quarterly basis; (2) permit a registered management investment company to include a summary portfolio schedule in reports to shareholders and exempt money market funds from including a portfolio schedule in reports to shareholders, provided that the complete portfolio schedule is filed with the Commission and available to shareholders upon request; (3) require a registered management investment company to include a tabular or graphic presentation of a fund's portfolio holdings in its reports to shareholders; (4) require a mutual fund to disclose in its reports to shareholders fund expenses borne by shareholders during the reporting period; and (5) require a mutual fund to include Management's Discussion of Fund Performance in its annual report to shareholders. 3. The Commission will consider whether to adopt amendments to Rule 203A-2(f) under the Investment Advisers Act of 1940 to exempt certain investment advisers that provide advisory services through the Internet from the prohibition on Commission registration. ENFORCEMENT PROCEEDINGS SEC CHARGES HIGH-RANKING ATTORNEY AT CAMBRIDGE BIOTECH COMPANY WITH INSIDER TRADING THE COMMISSION ANNOUNCED TODAY THAT IT HAS FILED INSIDER TRADING CHARGES AGAINST ANDREW S. MARKS, OF WAYLAND, MASSACHUSETTS, IN CONNECTION WITH HIS SEPTEMBER 2001 SALE OF STOCK IN VERTEX PHARMACEUTICALS, INC., A CAMBRIDGE-BASED BIOTECHNOLOGY COMPANY. THE COMMISSION'S COMPLAINT ALLEGES THAT MARKS, WHO AT THE TIME WAS VERTEX'S HIGHEST-RANKING ATTORNEY, LEARNED ON SEPT. 20, 2001, THAT VERTEX PLANNED TO ANNOUNCE THE SUSPENSION OF CLINICAL TRIALS OF ONE OF ITS PROMISING DRUGS ON SEPT. 24. ACCORDING TO THE COMMISSION'S COMPLAINT, ON SEPTEMBER 21, MARKS LIQUIDATED ALL OF HIS VERTEX STOCK DESPITE HAVING PREVIOUSLY ACKNOWLEDGED IN WRITING THAT THE IMPENDING RELEASE WOULD NOT BE VIEWED FAVORABLY BY WALL STREET AND THAT HE SHOULD NOT SELL HIS VERTEX SHARES. THE COMMISSION'S COMPLAINT ALLEGES THAT, BY SELLING HIS HOLDINGS PRIOR TO THE COMPANY'S PUBLIC ANNOUNCEMENT ON SEPT. 24, MARKS AVOIDED A LOSS OF $105,999. According to the Commission's complaint, at the time he traded, Marks was the designated attorney for employees to consult regarding compliance with Vertex's employee securities trading policy. In that capacity, the complaint alleges, Marks wrote Vertex's CEO an email on Sept. 20, advising him to make sure that an employee who had requested permission to trade had no knowledge of the impending press release. According to the Commission's complaint, Marks' email went on to say: I guess that I am troubled about any employee trading prior to that release because it is likely to have an effect on the stock (looks like I can't sell any shares) and, depending on the degree of that effect, could create the perception of insider trading. THE COMMISSION'S COMPLAINT ALLEGES THAT, ON SEPT. 21, LESS THAN 24 HOURS AFTER WRITING THIS EMAIL TO THE CEO, MARKS SOLD 20,900 SHARES OF VERTEX AT AN AVERAGE PRICE OF $22.81 PER SHARE, RECEIVING $476,765. ACCORDING TO THE COMMISSION'S COMPLAINT, VERTEX ANNOUNCED ITS DECISION TO TERMINATE CLINICAL TRIALS AT APPROXIMATELY 7:10 A.M. ON SEPTEMBER 24. VERTEX'S SHARES CLOSED THAT DAY AT $17.74, DOWN $5.33 FROM THE PREVIOUS CLOSE ON VOLUME OF 9.8 MILLION SHARES, MORE THAN EIGHT TIMES AVERAGE DAILY VOLUME. THE COMPLAINT ALLEGES THAT MARKS TRADED IN BREACH OF A FIDUCIARY DUTY TO VERTEX AND ITS SHAREHOLDERS NOT TO TRADE IN THE COMPANY'S STOCK WHILE IN POSSESSION OF MATERIAL, NONPUBLIC INFORMATION ABOUT THE COMPANY. AS A RESULT OF THE CONDUCT DESCRIBED IN THE COMPLAINT, THE COMMISSION HAS CHARGED MARKS WITH VIOLATIONS OF THE ANTIFRAUD PROVISIONS OF FEDERAL SECURITIES LAWS. MASS, NO. 02 CV 12325, JLT] (LR-17871) COMMISSION OBTAINS PERMANENT INJUNCTIONS AGAINST INDIVIDUAL DEFENDANTS IN OFFERING FRAUD SCHEME On Nov. 23, 2002, the U.S. District Court in Riverside, California entered permanent injunctions against Joseph Sanfellipo, James E. Gasper, Kimball R. Vance, Jr., and Elihu Sigal, who consented to permanent injunctions without admitting or denying the Commission's allegations. The Court also entered preliminary injunctions against defendants California AutoCare Corporation and AutoCare Americorp, continued the asset freeze and appointed a permanent receiver. The Commission alleged that Sanfellipo raised at least $500,000 through the sale of California Autocare Corporation stock. The Commission further alleged that California AutoCare communicated to investors that (1) California Autocare and Autocare Americorp had significant business relationships with Shell Oil Company, NAPA Auto Parts, Monroe, and Interstate Batteries, when in fact they did not; (2) there were 20 Autocare retail locations throughout California, when in fact there were only 5; and (3) California AutoCare and AutoCare America were negotiating sponsorship deals with Starbucks and Krispy Kreme Doughnuts, when in fact they were not. The Commission further charged California AutoCare, AutoCare Americorp, Sanfellipo and Gasper with violations of the securities registration and antifraud provisions of the federal securities laws, namely Sections 5(a), 5(c) and 17(a) of the Securities Act of 1933 (Securities Act) and Section 10(b) and Rule 10b-5 thereunder of the Securities Exchange Act of 1934 (Exchange Act). The Commission charged Vance and Sigal with violations of the securities and broker-dealer registration provisions of the securities laws, namely Sections 5(a) and 5(c) of the Securities Act and Section 15(a) of the Exchange Act. Cal.] (LR-17872) RELIEF DEFENDANT CATERINA JOHNSON HELD IN CIVIL CONTEMPT The Commission announced that on Nov. 13, 2002, the SEC filed with the U.S. District Court for the Southern District of Florida, an Application for an Order to Show Cause why Caterina Johnson (C. Johnson) should not be held in civil contempt for failure to comply with a Nov. 7, 2002 Order ordering her to appear for a deposition on Nov. 12, 2002 in Detroit, Michigan. A hearing was held on Nov. 22, 2002 on the SEC's Application and C. Johnson failed to appear to show cause why she should not be held in contempt. On Nov. 26, 2002, the Honorable Frank J. Lynch, Jr., United States Magistrate Judge for the Southern District of Florida, found C. Johnson in civil contempt and imposed sanctions against her. The Court ordered C. Johnson to appear for her deposition at a time and place designated by the SEC and awarded the SEC reasonable attorney's fees and costs incurred in connection with the deposition at which she failed to appear. (Rel. 35-27608) SELF-REGULATORY ORGANIZATIONS IMMEDIATE EFFECTIVENESS OF PROPOSED RULE CHANGE A proposed rule change filed by the Chicago Stock Exchange (SR-CHX-2002- 34) extending a pilot program related to the trading of Nasdaq/NM securities on the Exchange has become effective under Section 19(b)(3)(A) of the Act.
