SEC NEWS DIGEST Issue 2002-221 November 15, 2002 COMMISSION ANNOUNCEMENTS AUTOMATIC DATE ADJUSTMENTS DUE TO EDGAR TECHNICAL DIFFICULTIES On Thursday, Nov. 14, the EDGAR system experienced technical problems that delayed the receipt of a number of filings. Although no EDGAR system hardware or software components experienced any outages, some filers were unable to establish or maintain a connection to the system. As a result, the number of filings being accepted and disseminated was much lower than anticipated. Because of the technical difficulties experienced by filers, the SEC staff will automatically adjust the filing receipt date for all Form 10-Q and 10-QSB filings received on Friday, Nov. 15, 2002 back to Thursday, Nov. 14, 2002. It is understood that the EDGAR system problems have now been corrected and filings are being accepted as usual. (Press Rel. 2002-164) ENFORCEMENT PROCEEDINGS PROCEEDINGS INSTITUTED AGAINST JEFFREY PATTERSON AND TERRANCE TURMAN On Nov. 14, the Commission instituted administrative and cease-and- desist proceedings against Jeffrey R. Patterson and Terrance Turman (respondents), both Pennsylvania residents. In the Order Instituting Proceedings (Order), the Division of Enforcement (Division) alleges that the respondents sold securities in a fraudulent scheme orchestrated by Robert L. Bentley (Bentley) of Paoli, Pennsylvania. Bentley held himself out to his customers, most of whom were financial institutions, as a broker of bank-issued, federally-insured certificates of deposit. Bentley in fact bought CDs with customer funds. However, Bentley's customers did not acquire a direct ownership interest in these CDs. Instead, beginning in 1996, Bentley issued to the customers separate instruments, which were securities in the form of notes or investment contracts. These securities promised to pay interest rates and had maturity dates that varied from those terms in the underlying CDs. In many instances, Bentley bought long-term CDs and issued shorter-term securities to his customers. The Division alleges that, consequently, buyers of Bentley's securities depended upon Bentley, rather than the bank that issued the underlying CD, for the return of their principal. The Division alleges that the respondents materially misled their clients about the nature of the investment they were selling to their customers. At every step in the transaction they led their customers to believe that Bentley was a CD broker and that the customer would be buying a bank-issued, federally insured CD. Furthermore, the Division alleges that the respondents misled their customers to believe that their transactions were being made through a registered broker-dealer, when in fact their transactions were not made through a registered or regulated entity. The Division alleges that the respondents thereby willfully violated, and committed or caused violations of, Section 17(a) of the Securities Act of 1933 and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b-5 thereunder. The Division further alleges that the respondents willfully violated the broker-dealer registration provisions contained in Section 15(a) of the Exchange Act. In Oct. 2001, the Commission brought an injunctive action against Bentley and his entities through which he carried out the scheme, Entrust Group and Bentley Financial Services, Inc. See Litigation Releases No. 17201 (Oct. 23, 2001), 17206 (Oct. 25, 2001), and 17228 (Nov. 13, 2001). Bentley's business is now being liquidated by a court- ordered receiver. A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order are true, to provide the respondents an opportunity to dispute these allegations, and to determine what sanctions, if any, are appropriate and in the public interest. (Rels. 33-8148; 34-46838; IA-2081; File No. 3-10936) ADMINISTRATIVE SANCTIONS IMPOSED IN TELEMARKETING SCHEME On Nov. 14, the Commission issued an Order Instituting Proceedings Pursuant To Section 15(b) Of The Securities Exchange Act Of 1934, Making Findings And Imposing Remedial Sanctions (Order) against respondent David E. Morris of Kailua Kona, Hawaii. The Order finds that on October 31, 2002, the United States District Court for the Central District of California issued a final judgment against Morris permanently enjoining him from further violations of Section 17(a) of the Securities Act, Sections 10(b) and 15(a) of the Exchange Act, and Rule 10b-5 thereunder. Morris consented to the entry of the injunctive order, and to the imposition of administrative sanctions, without admitting or denying any of the allegations in the complaint or the Order (SEC v. Petro Resources Corp. et al., Civil Action No. SA CV 00-17 AHS, EEX, CDCA). The Commission's complaint alleged that during 1997, Morris was supervisor at ITS Consulting, Inc. (ITS), a telemarketing operation in Newport Beach, California that offered and sold securities to the public in the form of fractional interests in oil and gas drilling programs. The complaint alleges that, while such sales of securities were ongoing, neither Morris nor ITS was registered with the Commission as a broker or dealer. The complaint further alleges that, in connection with the offer and sale of the securities, Morris and persons subject to his supervision misrepresented and omitted material facts to prospective investors concerning, among other things, sales commissions that would be paid to salespersons of the securities and to control persons of ITS; risks and potential returns of the oil and gas drilling programs; uses of investor proceeds; and tax benefits available to investors in the programs. Based upon the above, the Commission issued an order barring Morris from association with any broker or dealer, with the right to reapply for association after two years to the appropriate self-regulatory organization, or if there is none, to the Commission. (Rel. 34-46837; File No. 3-10935) TELEMARKETING MANAGER BARRED IN OIL AND GAS SCHEME On Nov. 14, the Commission issued an Order Instituting Proceedings Pursuant To Section 15(b) Of The Securities Exchange Act Of 1934, Making Findings And Imposing Remedial Sanctions (Order) against respondent James Silver of Corona del Mar, California. (Rel. 34-46836; File No. 3- 10934) COURT ORDERS BARRY SAFFER TO DISGORGE $185,000 AND ENJOINS HIM FROM FUTURE VIOLATIONS OF THE SECURITIES LAWS On Nov. 13, the U.S. District Court for the Southern District of New York ordered Barry L. Saffer, a former Director of Financial Planning and Analysis with Manugistics Group, Inc., in Rockville, Maryland, to pay $185,000 in disgorgement and enjoined him from further violations of the Federal securities laws. The Honorable Shirley Wohl Kram issued the order. On July 2, 2002, the Commission filed a civil action against Saffer alleging that he violated the anti-fraud provisions of the federal securities laws by engaging in illegal insider trading (SEC v. Barry L. Saffer, Litigation Release No. 17597, July 3, 2002). The complaint states that Saffer obtained nonpublic company information by virtue of his position with Manugistics and traded in advance of company news announcements on multiple occasions over a three-year period from Jan. 1999 through March 2002. Saffer consented to entry of the court's judgment against him. Also on July 2, 2002, Saffer pleaded guilty to ten counts of securities fraud in related criminal charges. On Oct. 17, 2002, he was sentenced to twenty-four months of incarceration. The court delayed ordering restitution pending resolution of the Commission's civil enforcement action. The Commission acknowledges the assistance provided by the Chicago Board Options Exchange in the investigation of this matter. [U.S. v. Barry L. Saffer, 02 CR 864, NRB. SDNY)]; [SEC v. Barry L. Saffer, 02 CIV 5117, SWK, SDNY] (LR-17838) COMMISSION CHARGES MIRAM SANTOS, MICHAEL HOLLENDONER AND PETER BURNS WITH SECURITIES FRAUD The Securities and Exchange Commission today announced that it filed a civil action against Miriam Santos, former Treasurer of the City of Chicago and two of the City's former top brokers, Peter J. Burns and Michael F. Hollendoner for a secret, fraudulent cash-for-business arrangement perpetrated when Santos was City Treasurer. The complaint alleges that, from 1995 to May 1999, while registered representatives of broker-dealers, Burns and Hollendoner made secret cash payments to Santos to obtain a share of the City's lucrative investment business. Burns and Hollendoner paid thousands of dollars to Santos, who cut off other brokers who refused to make campaign contributions she solicited, in order to receive securities business that they would otherwise have lost. As a result, Burns and Hollendoner received thousands of dollars in compensation from City securities business that they otherwise would not have earned. The complaint also alleges that Santos used the cash from Burns and Hollendoner for her own personal, political and financial benefit including using part of the cash to purchase furniture for the campaign office she used in her run for Attorney General. The complaint also alleges that by engaging in this secret, fraudulent cash-for- business arrangement, Santos, Burns and Hollendoner thereby corrupted the normal competitive process by which the City allocated its investment business. At no time, did Santos, Burns or Hollendoner disclose their scheme to the City or their employers. As a result, Santos, Burns and Hollendoner thereby violated duties to the City and their employers. The Commission's complaint charges Santos, Burns and Hollendoner with violating the antifraud provisions of the federal securities laws and seeks orders of permanent injunction, disgorgement plus prejudgment interest and civil penalties against each of them. The Commission wishes to acknowledge and thank the U.S. Attorney's Office for the Northern District of Illinois and the City of Chicago for their assistance in this matter. [SEC v. Burns, Civil Action No. 02C 8236, ND Ill., JBZ] (LR-17839) SEC CHARGES SIX ADDITIONAL PEOPLE IN CONNECTION WITH OHIO-BASED PONZI SCHEME, INCLUDING FOUR LICENSED STOCKBROKERS WHO RECEIVED SECRET COMPENSATION FOR INVESTOR REFERRALS On Nov. 15, the Commission filed an amended complaint in the SEC v. Cummings, et al. litigation, adding six new defendants who were responsible for introducing more than a dozen investors to Paramount Financial Partners, L.P., a purported hedge fund based in Columbus, Ohio, and its principal, Von Cummings. The Commission's amended complaint alleges that Kevin Hightower and his "downline" of marketers helped Paramount and Cummings recruit investors and received large, secretive commissions in return. In addition to Hightower, 34, the amended complaint adds the following defendants: Mark D. Deyak, 41, of Rocky Point, New York; Michael L. Louis, 40, of East Setauket, New York; Michael L. Vogt, 30, of Riverhead, New York; John E. Hawley, Jr., 32, of Rocky Point, New York; and Omar Benaouda, 30, of New York, New York. Deyak, Louis, Vogt and Hawley are all licensed stockbrokers. The Commission's amended complaint adds the following new factual allegations. In October 2000, Hightower introduced Deyak and Vogt to Von Cummings and pitched Paramount as an opportunity for the brokers to enrich themselves with large commissions. Deyak then informed Louis, and Vogt notified Hawley and Benaouda. Deyak and Louis made material misrepresentations to clients, including that they invested their own funds with Paramount, in the course of soliciting investors. Vogt, Hawley and Benaouda referred the names of investors to Cummings. Later, Hightower accepted $720,000 of investor funds from Paramount into his business account, approximately $583,000 of which he distributed to the brokers and Benaouda as commissions. Hightower kept the remaining funds, approximately $137,000, as his own fee. The Commission's amended complaint charges that: (i) Deyak and Louis violated Section 17(a) of the Securities Act of 1933, Sections 10(b), 15(a) and 15(c) of the Securities Exchange Act of 1934 and Rules 10b-5 and Rule 15c1-2 thereunder, and (ii) Vogt and Hawley violated Section 15(a) of the Exchange Act by accepting compensation from Paramount and "selling away" from their employer, a brokerage firm. The amended complaint charges that Benaouda violated Section 15(a) of the Exchange Act by engaging in the securities brokerage business without a license. The Commission's amended complaint also charges that Hightower aided and abetted: (i) Cummings and Paramount's violations of Section 10(b) of the Exchange Act and Rule 10b-5 thereunder, and (ii) Deyak, Louis, Vogt, Hawley and Benaouda's violations of Section 15(a) of the Exchange Act. [SEC v. Von Christopher Cummings, et al., No. C2 02 629, S.D. Ohio] (LR- 17840) COURT ENTERS PRELIMINARY INJUNCTION AND OTHER RELIEF AGAINST BEACON HILL ASSET MANAGEMENT, LLC. The Commission announced that on Nov. 13, Judge Lewis A. Kaplan of the Southern District of New York, issued a Stipulation and Order granting the Commission's motion for a preliminary injunction against Beacon Hill Asset Management LLC (Beacon Hill) and other relief. Beacon Hill and the other parties consented to the court's order. The Commission's complaint, filed on Nov. 7, alleges that Beacon Hill, located in Summit, New Jersey, managed three "feeder" hedge funds - Bristol Fund, Ltd., Safe Harbor Fund L.P., and Milestone Plus Partners L.P. - as well as a "master" fund, Beacon Hill Master, Ltd., through which the feeder funds conducted trading. The funds principally invested in the mortgage-backed securities markets on a leveraged basis. The complaint alleges that, for at least the periods ending July 31, August 31, and Sept. 30, 2002, Beacon Hill reported net asset values and corresponding returns to fund investors that it knew or should have known were materially overstated. Among other things, on Oct. 8, Beacon Hill reported to investors that the Safe Harbor and Bristol funds had suffered losses estimated at 25% during the month of September. On Oct. 17, however, Beacon Hill reported to investors that losses were approximately 54% -- more than double the amount reported on Oct. 8 - including losses that had not been reported during prior periods. The Commission's complaint alleges that Beacon Hill violated Section 206(2) of the Investment Advisers Act of 1940, which prohibits transactions, practices, and courses of business which operate as a fraud or deceit upon investment advisory clients and prospective clients. The complaint names the hedge funds and their controlling entities as "relief" defendants. In addition to granting a preliminary injunction against Beacon Hill, the court's order requires that: * Beacon Hill and the hedge funds report to the court within 10 days that Beacon Hill is no longer managing the funds and that a new investment manager is in place; * No redemptions, withdrawals, distributions, or extraordinary payments be made from the funds without court approval; * The funds cause the new investment manager to file periodic reports with the court, the SEC, and investors; and * Beacon Hill preserve all relevant documents and cooperate fully to enable the new investment manager to perform its duties. Beacon Hill Asset Management LLC, Beacon Hill Master, Ltd., Bristol Fund, Ltd., Safe Harbor Fund L.P., Safe Harbor Asset Management, LLC, Milestone Plus Partners L.P., and Milestone Global Advisors, L.P., Civil Action No. 02 CV 8855, LAK, SDNY] (LR-17841) MYERS AND YATES, TWO FORMER WORLDCOM EXECUTIVES, ARE PERMANENTLY ENJOINED FROM COMMITTING SECURITIES FRAUD AND OTHER VIOLATIONS, AND BARRED FROM ACTING AS OFFICERS OR DIRECTORS OF A PUBLIC COMPANY The Commission announced today that judgments of permanent injunction were entered Nov. 14 in two of its pending civil enforcement actions in the WorldCom matter-those against David F. Myers, formerly WorldCom's Controller, and Buford Yates Jr., formerly WorldCom's Director of General Accounting. Both actions are pending in the U.S. District Court for the Southern District of New York before Judge Jed S. Rakoff. The judgments signed by Judge Rakoff impose the full injunctive relief sought by the Commission, prohibit each defendant from acting as an officer or director of any public company, and provide that monetary relief will be decided by the Court at a later date. The court retained jurisdiction for all purposes, including the imposition of further equitable relief and sanctions as may be determined following a hearing. Each defendant consented, without admitting or denying the allegations in the Commission's complaint, to the entry of the judgment against him. The Commission also announced today that each defendant has agreed to be suspended from practicing before the Commission as an accountant. The Commission's investigation into matters related to WorldCom's financial fraud is continuing. In its complaints in the actions pending before Judge Rakoff, the Commission charged Myers and Yates with participating in a massive fraud that inflated WorldCom's earnings at the direction and with the knowledge of WorldCom's senior management. The Commission sought permanent injunctions, disgorgement of any ill-gotten gains, civil money penalties, and orders barring each defendant from serving as an officer or director of a public company. (Litigation Release Nos. 17753 and 17771) The judgment entered against David F. Myers: (1) enjoins him from violating Section 17(a) of the Securities Act of 1933 (Securities Act) and Sections 10(b) and 13(b)(5) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5, 13b2-1 and 13b2-2 thereunder, and from aiding and abetting WorldCom's violations of Section 13(a), 13(b)(2)(A) and 13(b)(2)(B) and Rules 12b-20, 13a-1 and 13a-13; (2) prohibits him from acting as an officer or director of any issuer that has a class of securities registered pursuant to Exchange Act Section 12 or that is required to file reports pursuant to Exchange Act Section 15(d); and (3) provides that any monetary relief will be decided by the Court at a later date. The judgment entered against Buford Yates, Jr.: (1) enjoins him from future violations of Section 17(a) of the Securities Act and Sections 10(b) and 13(b)(5) of the Exchange Act and Rules 10b-5 and 13b2-1 thereunder, and from aiding and abetting WorldCom's violations of Section 13(a), 13(b)(2)(A) and 13(b)(2)(B) and Rules 12b-20, 13a-1 and 13a-13; (2) prohibits him from acting as an officer or director of any issuer that has a class of securities registered pursuant to Exchange Act Section 12 or that is required to file reports pursuant to Exchange Act Section 15(d); and (3) provides that any monetary relief will be decided by the Court at a later date. In addition, each defendant has agreed to a Commission administrative order, based on the injunction, suspending him from appearing or practicing before the Commission as an accountant, under Rule 102(e) of the Commission's Rules of Practice. Myers was licensed as a Certified Public Accountant (CPA) from the time he joined WorldCom until December 31, 2001. Yates was licensed as a CPA from 1988 until Jan. 1, 1999. The judgments entered by the District Court relate to two of the four civil actions the Commission has filed thus far in connection with the financial fraud at WorldCom. The Commission filed its initial complaint against WorldCom, Inc. on June 26, 2002, the day after WorldCom announced that it intended to restate its financial results for five quarters-all quarters in 2001 and the first quarter of 2002. (Litigation Release No. 17588.) That complaint charged WorldCom with violating various antifraud and reporting provisions of the federal securities laws, including Sections 10(b) and 13(a) of the Exchange Act and Exchange Act Rules 10b-5, 13a-1, 13a-13 and 12b-20, during those five quarters. The Commission also sought the appointment of a corporate monitor, and on July 3, Judge Rakoff appointed former SEC Chairman Richard Breeden to that position. The Commission filed an amended complaint against WorldCom on November 5, adding claims that WorldCom violated the antifraud provision of the Securities Act (Section 17(a)), in connection with several securities offerings during the fraud, and also violated the internal controls and books and records provisions of the Exchange Act (Sections 13(b)(2)(A) and 13(b)(2)(B)). The amended complaint broadened the Commission's charges to allege that WorldCom misled investors from at least as early as 1999 through the first quarter of 2002, and further stated that the company had acknowledged that during that period, as a result of undisclosed and improper accounting, WorldCom materially overstated the income it reported on its financial statements by approximately $9 billion. The Commission has also brought a civil action against Betty L. Vinson and Troy M. Normand, former accountants in WorldCom's General Accounting Department (Litigation Release No. 17783). The Commission acknowledges the assistance and cooperation of the U.S. Attorneys' Offices for the Southern District of New York and Southern District of Mississippi, and the Federal Bureau of Investigation. Both Myers and Yates have pled guilty to criminal charges prosecuted by the U.S. Attorney's Office for the Southern District of New York. [SEC v. David F. Publication of the proposal is expected in the Federal Register during the week of Nov. 18.
