The conditions, which were imposed by the Commission in a prior order granting conditional approval of the SuperMontage, include an alternative display facility established by the NASD for the display of market maker and ECN quotes. CHAIRMAN PITT SEEKS REVIEW OF INITIAL PUBLIC OFFERING PROCESS As part of an ongoing effort to bolster investor confidence, Chairman Harvey L. Pitt of the Securities and Exchange Commission has asked the National Association of Securities Dealers and the New York Stock Exchange to review the initial public offering (IPO) process, including IPO allocation practices and the roles of issuers and underwriters in the price setting and offering process. Chairman Pitt's letter to these self-regulatory organizations notes: "[In the 1990s], hot IPOs were heavily oversubscribed, and many investors were frustrated in their attempts to participate in the IPOs. Participation in these IPOs became immensely valuable for both underwriters and customers, inducing aggressive conduct to gain this business. As a result, serious questions arose about the price setting process and the allocation practices of the underwriters of some of these offerings. For example, to obtain IPO allocations, some investors paid excessive commissions, or may have been induced to purchase shares in the aftermarket, distorting the market for these securities. In other cases, hot IPO shares may have been allocated to individuals for the purpose of obtaining investment banking business." The Chairman also noted that the Commission and the SROs continue to investigate possible violations of existing rules and commended the SROs for considering additional rulemaking. He also asked the SROs to undertake a broader review of the IPO process to determine if the additional rulemaking being contemplated will be sufficient to strengthen the integrity of the offering process and to better protect investors. Pitt specifically requested that the NASD and NYSE jointly convene a high-level group of business and academic leaders to conduct this broader review, and suggested that this committee should consist of distinguished representatives of issuers, underwriters, investors, academics and other market participants. (Press Rel. 2002-127) ENFORCEMENT PROCEEDINGS JOSEPH GALLUZZI BARRED On August 23, the Commission barred Joseph P. Galluzzi, of Springfield, NJ, from association with a broker or dealer. Galluzzi, who was formerly associated with Gibraltar Securities Co., a registered broker- dealer, was convicted of mail fraud and bribery, among other offenses, in connection with his position as a financial consultant to municipal and county governments in New Jersey. Galluzzi also had been enjoined against future violations of antifraud provisions of the securities laws based on the same misconduct. In imposing a bar, the Commission found that, over several years, Galluzzi abused his position of public trust by accepting hundreds of thousands of dollars in bribes and kickbacks in return for help in steering official public business to certain securities firms. Galluzzi's conduct, the Commission noted, was extensive and evidenced a high degree of scienter. (Rel. 34-46405; File No. 3-10209) MEMPHIS FINANCIAL ADVISOR DAVID NAMER CONVICTED OF 93 FELONY COUNTS IN $35 MILLION NATIONWIDE SECURITIES FRAUD The Commission announced today that on August 20 following a seven-week trial, David I. Namer, a financial advisor based in Memphis, Tennessee, was found guilty by a federal jury of 93 counts of conspiracy, securities fraud, mail fraud, wire fraud, money laundering, and tax evasion. The indictment charged that Namer, 55, masterminded a multi- faceted fraudulent scheme from 1994 through 1996 involving the sale of approximately $35 million of corporate notes to hundreds of investors located throughout the nation. The jury also rendered a separate verdict requiring Namer to forfeit $34.6 million in cash, his house, and shares of stock that he acquired with ill-gotten gains. He has been incarcerated since September 28, 2000. Namer, who has a prior criminal fraud conviction, faces a potential sentence of up to 980 years. Sentencing has been scheduled for November 14, 2002. The case was prosecuted by the United States Attorney's Office for the Western District of Tennessee. Through its verdict, the jury found that Namer bribed two securities brokers and an insurance company executive; fraudulently sold approximately $23 million of corporate notes that he claimed were insured when there was in fact no insurance in place; diverted almost $2 million of note proceeds to purchase, for his own personal benefit, a fifty-percent interest in a securities brokerage firm; and evaded federal income taxes on approximately $600,000 in income over three years. To assist in the investigation and prosecution of the case, the Commission detailed two SEC trial attorneys to the U.S. Attorney's Office in Memphis. In 1997, the Commission also filed a related civil enforcement action against Namer, Meyers Pollock Robbins, Inc., Michael Ploshnick, and others, which has been stayed pending the disposition of the criminal case. David I Namer, et al., 97 Civ. 2085, USDC, SDNY, MBM] (LR-17696) MICHAEL MOONEY SENTENCED TO 42 MONTHS AND ORDERED TO PAY $220,000 FOR INSIDER TRADING IN UNITED HEALTHCARE OPTIONS On August 21, Michael Mooney was sentenced to 42 months in prison, 3 years of supervised release, and ordered to pay $150,000 in fines plus $70,000 in criminal forfeiture by the Honorable James Rosenbaum, United States District Judge for the District of Minnesota, for trading options of United Healthcare Corporation in May and June of 1995 based on material, non-public information regarding United's plan to acquire The MetraHealth Companies, Inc. Mooney, a vice-president of underwriting for United Health Care at the time he made the trades, was a member of United's due diligence team investigating the potential acquisition of MetraHealth. After the merger was announced, United's stock price rose approximately 11%. The Court found that Mooney received ill-gotten gains of $274,199 as a result of his illegal trading in United. The SEC filed a civil action against Mooney on August 2, 1999 in connection with his trading of United options in 1995, alleging that the options were sold while he was in possession of material, non public information regarding United's plan to acquire MetraHealth, in violation of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The SEC's action seeks an injunction, disgorgement of the ill-gotten gains and a civil penalty. The civil action has been stayed pending resolution of the criminal trial. [SEC v.
