SEC NEWS DIGEST Issue 2002-119 June 20, 2002 COMMISSION ANNOUNCEMENTS MEMORANDUM OF UNDERSTANDING ESTABLISHING A FRAMEWORK FOR INFORMATION SHARING The U.S. Securities and Exchange Commission, the U.S. Commodity Futures Trading Commission, and the Jersey Financial Services Commission signed a Memorandum of Understanding (MOU) Concerning Cooperation, Consultation and the Exchange of Information, effective May 22, 2002. The MOU establishes a framework for information sharing and facilitates cooperation in cross-border investigations of potential violations of securities and futures laws. (International Series Release 1261) ENFORCEMENT PROCEEDINGS SETH MILLER BARRED FROM THE SECURITIES INDUSTRY On June 18, the Commission issued an Order Instituting Proceedings, Making Findings and Imposing Remedial Sanctions (Order) barring Seth Miller (Miller) of Hialeah, Florida from associating with any broker or dealer. The Commission found that on December 5, 2001, Miller was permanently enjoined for violations of Sections 5(a), 5(c), and 17(a) of the Securities Act of 1933, Sections 10(b), 15(a) and 15(c) of the Securities Exchange Act of 1934 and Rules 10b-5 and 15c1-2 promulgated thereunder arising from his role in a massive Ponzi scheme in which World Vision Entertainment, Inc. (World Vision) raised $64 million through the sale of nine-month promissory notes to over 1,000 investors. In the injunctive action, the Commission alleged that Miller processed incoming checks from World Vision and investors, and used the note proceeds to, among other things, make interest payments to investors and pay commissions to note salesmen, when he knew that salesmen represented that all of the note proceeds were used to develop World Vision's products. The complaint also alleged that Miller acted as an unregistered broker-dealer in: marketing the notes to the sales network; distributing sales materials to sales agents for use in soliciting investors; and answering marketer, sales agent and investor questions about World Vision and its nine-month note program. The complaint further alleged that Miller solicited investors to renew their notes while misrepresenting that the notes were guaranteed, that the notes would be used only to develop World Vision products and that there were no loads or fees of any kind associated with the notes. Miller received a percentage of every World Vision note sold for his efforts in connection with the offer and sale of World Vision notes. In that action, the Court ordered Miller to pay disgorgement of $327,192 and prejudgment interest, but waived payment and did not impose a civil penalty based on Miller's sworn representations in his Statement of Financial Condition. (Rel. 34-46089; File No. 3-10805) SEC BARS PETER TARANGELO FROM ASSOCIATING WITH ANY BROKER, DEALER OR INVESTMENT ADVISER On June 20, the Commission instituted and simultaneously settled an action against Peter P. Tarangelo of Palm Beach Gardens, Florida. Without admitting or denying the Commission's allegations, Tarangelo consented to the entry of an order barring him from associating with any broker, dealer or investment adviser based on his criminal conviction. In its order, the Commission found that on December 21, 2001, the U.S. District Court for the Southern District of Florida convicted Tarangelo of bribing a public official and sentenced him to 28 months in prison. (Rels. 34-46094; IA-2037; File No. 3-10806) CIVIL ACTION AGAINST SOUTHERN FINANCIAL GROUP, INC., ET AL. The Commission announced that on June 10 the Honorable David C. Norton, United States District Judge for the District of South Carolina, Charleston Division, entered orders of preliminary injunction and other relief as to defendants Southern Financial Group, Inc. (Southern) and Richard M. Wooten (Wooten) and relief defendant Springdale Investments, Inc. (Springdale). The orders restrained and enjoined Southern and Wooten from violating Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The Court also ordered a freeze of assets held or controlled by Southern, Wooten and Springdale, and required them to submit accountings of all monies received from the scheme and of the disposition and use of said funds. The accountings are to be submitted to the Court within 30 days of the date of the Court's order. Southern, Wooten and Springdale consented to the relief without admitting or denying the allegations set forth in the Commission's complaint, filed on May 24, 2002. The complaint alleged that defendants Southern, Wooten, Charles Dennis McKittrick, and Gerald F. Hunter, Jr. raised at least $25 million through a fraudulent scheme involving the sale of short-term notes on behalf of UC Properties LLC. The complaint alleged that the defendants operated these note offerings as a Ponzi scheme, using funds raised from current note offerings to pay principal and interest to investors in prior offerings, and that at least $5 million was transferred to relief defendant Springdale. The complaint further alleged that Southern operated in violation of the net capital rule since at least October 2001, and that the firm's FOCUS reports and other books and records have been inaccurate since that time. On May 24, 2002, the Court entered an order for the defendants and relief defendant to show cause as to why a preliminary injunction pursuant to Rule 65 of the Federal Rules of Civil Procedure should not be granted, as requested by the Commission. Hunter, Jr., Defendants, and Springdale Investments, Inc., Relief Defendant, United States District Court for the District of South Carolina, Charleston Division, Civil Action File No. 2:02-1806-18] (LR- 17574) U.S. COURT OF APPEALS AFFIRMS DISTRICT COURT JUDGMENT ORDERING PARVIN GIDVANI TO PAY $305,984 IN INSIDER TRADING CASE The Commission announced today that on May 15, 2002, in SEC v. Parvin G. Gidvani, No. 01-20428 (5th Cir.), the U.S. Court of Appeals for the Fifth Circuit, by means of a per curiam order, affirmed a Final Judgment of the U.S. District Court for the Southern District of Texas which granted the Commission's motion for summary judgment against Parvin Gidvani. The District Court found Gidvani, a former employee of Owen Healthcare, Inc., liable for insider trading in violation of Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 thereunder. The District Court Judgment required Gidvani to disgorge all of his illegal trading profits and the illegal trading profits of his two tippees, in an aggregate amount of $104,500. It also required him to pay interest of $44,734 on that disgorgement and a civil penalty of $156,750. [SEC v. Parvin Gidvani, Civil Action No. 01-20428 (5th Cir.)] (LR-17575) SEC OBTAINS PRELIMINARY INJUNCTION AGAINST MILLENNIUM FINANCIAL, LTD. FOR RUNNING AN INTERNATIONAL BOILER ROOM OPERATION Over $1.6 Million in U.S. and Offshore Accounts Frozen The Commission announced today that on June 19 the United States District Court for the Southern District of New York entered a preliminary injunction prohibiting Millennium Financial, Ltd. (Millennium) from engaging in the fraudulent offer and sale of securities. The Court previously issued a temporary restraining order against Millennium on May 22, 2002. The Court's June 19 Order directs the continuation of certain relief pending trial, including a freeze of Millennium's assets and an order directing Millennium to provide an accounting and to repatriate assets held offshore. Over $300,000 has been frozen in the United States pursuant to the Court's Order. Also, in cooperation with the U.S. Department of Justice, the U.S. Attorney's Office for the Southern District of New York, and the Federation of St. Kitts and Nevis, over $1.3 million in offshore assets have been frozen to date. The Commission's complaint alleges that Millennium has been running an ongoing international boiler room operation that has defrauded at least 150 investors from over 20 countries out of more than $2 million. The Commission also sued Newpont Fiduciaries & Nominees, S.A. as a relief defendant. The complaint alleges that Millennium made a number of fraudulent statements to investors in connection with the offer and sale of the so-called pre-initial public offering (or "pre-IPO") stocks of at least three U.S. companies - Key Card Communications, Inc., kNutek Holdings, Inc. and Sonic Garden, Inc. The complaint alleges that through unsolicited telephone calls and mass mailings, Millennium made fraudulent statements concerning: - whether and when a U.S. company was going to have an IPO; - whether investors could profitably resell their pre-IPO shares before the IPO; - the price at which the stock would be offered in the IPO itself; and - the price at which the stock would trade shortly after the IPO. Documents filed in support of the Commission's complaint allege that Millennium also employed "bait and switch" tactics by first offering investors the opportunity to buy well-known publicly-traded securities at a "discount." Millennium then allegedly persuaded investors to shift their investments and sometimes increase them to purchase pre-IPO stock. The Commission's supporting documents also allege that Millennium has engaged in sophisticated tactics to avoid detection and prosecution. For example, the Commission has alleged that Millennium has rerouted mail, telephone calls, and facsimiles from one country to another. In addition, Millennium has utilized multiple nominee accounts located in no fewer than six countries in the names of several other corporate entities, including Relief Defendant Newpont Fiduciaries. The majority of the known investors are from the United Kingdom and Ireland. Other investors are from Australia, Belgium, Denmark, France, Germany, Greece, Guernsey, Indonesia, Italy, Luxembourg, Malaysia, The Netherlands, New Zealand, Portugal, Saudi Arabia, Singapore, Sri Lanka, Sweden, Switzerland, the United States, and the United Arab Emirates. The Court's Order preliminarily enjoins Millennium, during the pendency of this action, from violating the antifraud provisions of the federal securities laws, Section 17(a) of the Securities Act of 1933, Section 10(b) of the Securities Exchange Act of 1934 and Rule 10b-5 promulgated thereunder.
