The Commission announced the temporary suspension, pursuant to Section 12(k) of the Securities Exchange Act of 1934, of over-the-counter trading of the securities of Investco, Inc. (Investco), of Boca Raton, Florida, at 9:30 a.m. EST on April 29, 2002, and terminating at 11:59 p.m. EST on May 10, 2002. The Commission temporarily suspended trading in the securities of Investco because of questions that have been raised about the accuracy of publicly disseminated information concerning, among other things, (1) the company's assets, (2) the company's business combinations, (3) the company's current financial condition, and (4) a tender offer for Investco's outstanding shares. FEE RATE ADVISORY #1 FOR FISCAL YEAR 2003 The Investor and Capital Markets Fee Relief Act requires that the Commission make annual adjustments to the rates for fees paid under Section 6(b) of the Securities Act of 1933 and Sections 13(e), 14(g), and 31 of the Securities Exchange Act of 1934. Effective Oct. 1, 2002, or 5 days after the date on which the Commission receives its fiscal 2003 regular appropriation, whichever date comes later, the Section 6(b) fee rate applicable to the registration of securities, the Section 13(e) fee rate applicable to the repurchase of securities, and the Section 14(g) fee rates applicable to proxy solicitations and statements in corporate control transactions will be reduced to $80.90 per million from the current rate of $92.00 per million. In addition, effective Oct. 1, 2002, or 30 days after the date on which the Commission receives its fiscal 2003 regular appropriation, whichever date comes later, the Section 31 fee rate applicable to securities transactions on the exchanges and Nasdaq will be reduced to $25.20 per million from the current rate of $30.10 per million. The Commission consulted with both the Congressional Budget Office and the Office of Management and Budget about the annual adjustments, as required by the Act. The adjusted fee rates will not affect the amount of funding available to the Commission. ENFORCEMENT PROCEEDINGS EX-WEGARD BROKER CURTIS MARCHAND, III, BARRED FROM THE SECURITIES INDUSTRY Curtis Marchand, III, formerly a stockbroker at a "boiler room" brokerage firm, has been barred from association with any broker-dealer. The sanction was based on his felony conviction and was ordered in an administrative proceeding before an administrative law judge. Marchand was convicted of conspiracy to commit securities fraud. The wrongdoing that led to his conviction occurred during his employment at L.C. Wegard & Co., Inc., where he and others had induced unsuspecting investors to purchase speculative high-risk securities through the use of fraudulent and deceptive sales practices. (Rel. 34-45841; File No. 3- 10702) KENNETH PAYNE SENTENCED TO ALMOST EIGHTEEN YEARS IN PRISON FOR ORCHESTRATING $29 MILLION PONZI SCHEME On April 12, the Honorable John D. Tinder, United States District Judge for the Southern District of Indiana, sentenced Kenneth R. Payne (Payne), a resident of Indianapolis, Indiana, to seventeen years and seven months in prison, and ordered him to pay restitution of more than $27 million for orchestrating a $29 million Ponzi scheme. In January, Payne, former president of Heartland Financial Services, Inc. (Heartland), entered a guilty plea to five counts of mail fraud and one count of money laundering based on his fraudulent conduct in connection with the Ponzi scheme. The criminal case was prosecuted by the U.S. Attorney's Office for the Southern District of Indiana. Previously, on August 10, 2000, Judge Tinder, who also presides over a lawsuit filed by the U.S. Securities and Exchange Commission (SEC) captioned SEC v. Payne, et al., IP00-1265 C, entered a temporary restraining order in that case against Payne, Daniel G. Danker (Danker), Heartland, JMS Investment Group, LLC (JMS), Johann M. Smith (Smith) and Constance Brooks-Kiefer (Brooks-Kiefer) for their involvement in the Ponzi scheme. The SEC's complaint in the civil lawsuit alleged that from at least January 1998 to the present, the defendants defrauded investors, many of whom were elderly, through the offer and sale of three bogus investment opportunities: (1) initial public offerings of financial institutions and technology companies represented by units of JMS; (2) interests in an offshore bank located in Belize; and (3) units of Heartland as well as stocks, money markets and mutual funds through Heartland. Rather than use investor funds for legitimate securities transactions, the SEC alleged that the defendants commingled investors' funds from all three schemes in a common bank account controlled by Smith and Brooks-Kiefer and used most of the $29 million raised from investors to repay investors in the Ponzi scheme and for other non- investment related purposes [See SEC v. Kenneth R. Payne, et al., Litigation Release No. 16650]. Additionally, on August 21, 2000, Judge Tinder entered orders of preliminary injunction against Payne and Heartland [See SEC v. Kenneth R. Payne, et al., Litigation Release No. 17049]. However, on or about September 6, 2000, Payne fled the jurisdiction of the United States and was eventually apprehended and arrested by federal marshals in Cancun, Mexico on September 28, 2000. Since his arrest, Payne has been incarcerated in Indianapolis. On June 5, 2001, the Clerk of Court for the Southern District of Indiana entered defaults against Payne and Heartland based on their failure to plead or otherwise defend the SEC's action against them. IN, Civil Action No. IP00-1265C] (LR-17492) SEC AMENDS COMPLAINT, ADDS CHARGES THAT COLE BARTIROMO, A 17 YEAR OLD, ENGAGED IN AN INTERNET PUMP AND DUMP SCHEME The Commission announced that it filed a second amended complaint today in SEC v. Invest Better 2001, Cole A. Bartiromo, and John/Jane Does 1-10, 01 Civ. 11427 (BSJ)(S.D.N.Y. filed January 7, 2002) (IB2001) alleging additional violations by Cole A. Bartiromo (Bartiromo) of Section 17(a) of the Securities Act of 1933 (Securities Act) and Section 10(b) of the Securities Exchange Act of 1934 (Exchange Act) and Rule 10b- 5 thereunder. In its first amended complaint, filed January 7, 2002, the Commission alleged that Bartiromo raised more than $1 million from more than 1,000 investors through a scheme known as Invest Better 2001 (IB2001), which purportedly offered "guaranteed" and "risk free" investments programs in which IB2001 pooled investors' funds to bet on sporting events, and promised to repay investors between 125% and 2500% of their principal within specified periods ranging from three days to several weeks. The second amended complaint, filed today, additionally alleges that Bartiromo conducted an Internet pump-and-dump scheme that manipulated the stock price of fifteen publicly traded companies. Specifically, the second amended complaint alleges that from approximately May 14, 2001 to July 5, 2001, Bartiromo disseminated numerous false and misleading messages concerning publicly traded companies. The complaint further alleges that for each manipulation Bartiromo purchased large blocks of stock, consisting in some cases of nearly 50% of the volume on that day, then posted thousands of identical false messages on Internet message boards, and subsequently sold his entire position. According to the second amended complaint, Bartiromo posted over 6,000 messages and traded several million shares of the fifteen companies in this manner, and, as a result, generated a net profit of over $91,000. The second amended complaint seeks, among other things, civil injunctive relief, disgorgement plus prejudgment interest and civil money penalties based on Bartiromo's additional violations. [SEC v. Bartiromo, and John/Jane Does 1-10, 01 Civ. 11427 (BSJ) USDC, SDNY] (LR-17493) SEC SUES LARRY STOCKETT The Commission filed an injunctive action on April 26 against Nevada resident Larry A. Stockett. The Commission's complaint alleges that between August 1999 and the present, Stockett has orchestrated fraudulent schemes regarding Hightec, Inc. (Hightec) and The S.I.N.C.L.A.R.E. Group, Inc. (Sinclare), two publicly held but legally defunct corporate entities of which he is the sole officer and director. The complaint further alleges that Stockett has issued numerous false statements concerning, among other things, Stockett's disciplinary history and the legal status and current operations of Hightec and Sinclare. Moreover, the complaint alleges that Stockett sold restricted Hightec stock in unregistered transactions for total profits of approximately $583,687 during dissemination of the false statements. According to the complaint, Stockett has failed to file mandatory periodic and current reports with the Commission on behalf of Hightec and Sinclare since late 1996. The Commission's complaint alleges that Stockett: (1) violated Sections 5(a), and 5(c) of the Securities Act of 1933, Sections 10(b), 13(d) and 16(a) of the Securities Exchange Act of 1934 (Exchange Act) and Rules 10b-5, 13d-1, 13d-2, 16a-2, and 16a-3 thereunder; (2) aided and abetted the violations of Hightec of Sections 13(a), 13(d) and 16(a) of the Exchange Act and Rules 12b-25, 13a-1, 13a-11, 13a-13, 13d-1, 16a-2 and 16a-3 thereunder; and (3) aided and abetted the violations of Sinclare of Section 13(a) of the Exchange Act and Rules 12b-25, 13a-1, 13a-11 and 13a-13 thereunder.
