SEC NEWS DIGEST Issue 2002-46 March 8, 2002 ENFORCEMENT PROCEEDINGS IN THE MATTER OF FACUNDO PONCE On March 7, the Commission issued an Order Making Findings, Imposing Remedial Sanctions, and Imposing a Cease-and-Desist Order (Order) against Facundo Ponce. The Order finds that Ponce, while a registered representative at Monitor Investment Group, Inc., received bribes in exchange for creating retail demand for two penny stocks, Beachport Entertainment Group, Inc. and International Nursing Services, Inc., by recommending those stocks to his retail customers. The Order further finds that Ponce did not disclose to his customers that he received additional compensation to make his penny stock recommendations. Based on the above, the Order finds that Ponce willfully violated Section 17(a) of the Securities Act and Section 10(b) of the Exchange Act and Rule l0b-5 thereunder. The Order (1) orders Ponce to cease and desist from committing or causing any violation and any future violations of Section 17(a) of the Securities Act, Section 10(b) of the Exchange Act and Rule 10b-5 promulgated thereunder (2) bars Ponce from participating in any offering of penny stock, and (3) bars Ponce from association with any broker or dealer. Ponce consented to the issuance of the Order without admitting or denying the factual findings therein. (Rels. 33-8068; 34-45512; File No. 3-10229) ADMINISTRATIVE PROCEEDINGS SETTLED AGAINST PLATINUM EQUITIES, INC., BLACKHEATH & KENT HOLDINGS, INC., JOHN KENNY, AND PASQUALE FORTI The Commission today entered an order against Platinum Equities, Inc., a registered broker-dealer in New York City, Blackheath & Kent Holdings, Inc., John J. Kenny, and Pasquale Forti and simultaneously accepted their offers of settlement. In the order, the Commission revokes Platinum Equities' registration as a broker-dealer, bars Blackheath & Kent from associating with any broker or dealer, bars Kenny and Forti from associating with any broker or dealer with a right to reapply to become associated after a period of one year, bars Kenny and Forti from participating in offerings of penny stock, and orders all the respondents to cease and desist committing or causing any violations and any future violations of Section 17(a) of the Securities Act of 1933, Sections 10(b) and 15(c) of the Securities Exchange Act of 1934, and Rules 10b-3, 10b-5, 10b-10, and 15c1-2 thereunder. In addition, the Commission orders the respondents to pay disgorgement of $265,020.50 each, but waives such payments except $10,000 with respect to Forti. In their offers of settlement, Kenny, Forti, Platinum Equities, a registered broker-dealer in New York City, and Blackheath & Kent, the parent company of Platinum Equities, without admitting or denying the findings, consented to the issuance of an order by the Commission that finds that they engaged in a scheme to recommend and promote the purchase of certain stock to customers of Platinum Equities without disclosing that the stock was owned by Blackheath & Kent. (Rels. 33- 8069; 34-45520; File No. 3-10277) COMMISSION CHARGES VICE PRESIDENT OF GE CAPITAL CORP WITH TIPPING, AND AMERICAN KUNG-FU INSTRUCTOR WITH INSIDER TRADING, AHEAD OF GE CAPITAL'S TENDER OFFER FOR HELLER FINANCIAL, INC. Commission Obtains Order Freezing Accounts That Received Proceeds of Illegal Trades The Commission announced today that it filed a complaint on March 7 in the United States District Court for the Southern District of New York against Anthony Chrysikos and Michael Martello, alleging that they engaged in tipping and insider trading immediately ahead of the July 30, 2001, initial public announcement of a contemplated business combination between General Electric Capital Corp and Heller Financial, Inc. The Commission's complaint also named Michael Martello's mother, Marie Martello, as a relief defendant, and the Commission's filings with the District Court sought certain emergency relief, including a freeze of certain brokerage and bank accounts that received proceeds from the illegal trades. On March 7, 2002, U.S. District Judge Leonard B. Sand signed an Order granting the emergency relief and directing the defendants and the relief defendant to appear before the District Court on March 15, 2002, at 2:00 p.m., to show cause why the relief should not be continued until final resolution of the Commission's case in chief. The Commission's complaint alleges that Chrysikos, a Vice President in GE Capital's Aircraft Services Division and a member of the GE Capital deal team for the Heller Financial transaction, conveyed material nonpublic information to Michael Martello, an American Kung-Fu instructor and Web page designer, by means of telephone conversations with Michael Martello's mother on July 26 and 27, 2001. The Commission's complaint further alleges that Chrysikos acquired the material nonpublic information in the course of his employment at GE Capital, a wholly owned subsidiary of General Electric Company, and then tipped Michael Martello, in breach of Chrysikos' duties to General Electric Company and to its shareholders. In its action, the Commission is seeking a permanent injunction against further violations of the federal securities laws, disgorgement, with prejudgment interest thereon, and civil penalties from each of the defendants, based on the illegal conduct alleged in the Commission's complaint. The Commission also sought, and obtained, a temporary restraining order freezing certain Citicorp and Citibank brokerage and bank accounts that are held in the name of Michael Martello or Marie Martello and that received proceeds from the illegal trades. The Commission acknowledges the assistance of the American Stock Exchange in the investigation of this matter. [SEC v. Anthony Chrysikos and Michael Martello, Defendants, and Marie Martello, Relief Defendant, 02 1825 (HB), SDNY] (LR-17404) SEC CONCLUDES CASE AGAINST BARCLAY GRAYSON The Commission announced that on February 26, 2002, a federal judge in Portland, Oregon, entered an amended judgment of permanent injunction against Barclay L. Grayson, a principal of Capital Consultants, LLC, an investment adviser located in Portland. The remaining issue in the case was the assessment of a civil penalty against Grayson. The amended judgment does not assess a civil penalty against Grayson based upon sworn statements of financial condition that he submitted to the Commission staff. The Commission charged Capital Consultants, Barclay Grayson and his father, Jeffrey L. Grayson with fraud and obtained emergency relief against them in September 2000. The complaint alleged that the defendants were operating an undisclosed Ponzi-like scheme in which they used client funds to make interest payments to other clients who were invested in a $160 million loan that Capital Consultants made to Wilshire Credit Corp. On April 30, 2001, the Court entered permanent injunctions against Capital Consultants and the Graysons. Capital Consultants is currently in receivership.
