IN THE MATTER OF EVTC, INC.

The Commission announced that it has instituted proceedings pursuant to Section 12(j) of the Securities Exchange Act of 1934 ("Exchange Act") to determine whether the registration of each class of the securities of EVTC, Inc. should be suspended or revoked. EVTC is a Delaware corporation based in Houston, Texas. The Division of Enforcement ("Division") alleges that EVTC, whose common stock is registered pursuant to Section 12(g) of the Exchange Act, failed to file annual reports on Form 10-K for the fiscal years ended September 30, 2002 or September 30, 2003, and failed to file quarterly reports on Form 10-Q for the period ended June 30, 2002, and all subsequent periods. As a result, the Division alleges that EVTC failed to comply with Section 13(a) of the Exchange Act and Rules 13a-1 and 13a-13 thereunder.

A hearing will be scheduled before an administrative law judge to determine whether the allegations contained in the Order Instituting Proceedings are true, to provide EVTC an opportunity to dispute these allegations, and to determine whether the registration of each class of EVTC's securities should be suspended or revoked. The Commission directed that an administrative law judge shall issue an initial decision in this matter within 120 days from the date of service of the Order Instituting Proceedings.
