Notice to EDGAR Filers:
Postponement of Release 8.5 and
Live Filing of Section 16 Reports
Using the SEC's New On-Line Website
On March 24, 2003, the SEC established a new test website for creating and filing Section 16 ownership forms. We encouraged individuals, companies and filing agents to use the new website to create and submit "test" filings and to provide us with their comments or suggestions for improving the system. The results of the testing have been extremely positive. We greatly appreciate the large number of comments we received, almost all of which indicated the system was easy to use and intuitive.
In reviewing the comments, however, we identified a number of changes beneficial to filers that need to be addressed before we go "live" with the new system. Because the solutions to these matters will take additional programming, we have decided to postpone the implementation date of the live system and EDGAR Release 8.5. The new date for implementation of the system is Monday, May 5, 2003.
As previously indicated, after the test system goes "live", filers no longer will be able to make Form 3, 4, or 5 filings using the existing EDGAR template system. From that time until the date the mandated electronic filing rules become effective, filers will need to file Forms 3, 4 and 5 electronically, using either the new on-line website system or private company software products, or in paper.
