DRAFT EDGAR Filer Manual (Volume II)

This draft Filer Manual, posted before Commission approval of potential regulatory changes in this release, is provided as a service to our filing community to assist filers, agents, and software developers prepare for potential changes the staff anticipates. Since this is a draft manual, the SEC retains the right to change any part of the manual before the new system release is made final. In addition, the final EDGAR Filer Manual (Volume II) (Version 15) is subject to Commission approval and may be revised before approval or not approved at all. Similarly, the posting of the draft manual does not indicate Commission approval of any pending proposed changes relating to the potential changes reflected in the draft manual. The final version of the manual will be made available as and if approved by the Commission, on the SEC's Public Website.

Changes to the DRAFT EDGAR Filing Manual (Volume II) EDGAR Filing (Version 15) are being made to update the filer manual to reflect changes scheduled to be implemented on August 30, 2010.

  • In support of the adoption of new rule 30b1-7 under the Investment Company Act of 1940 and new Form N-MFP, which were included in the Commission’s recent money market fund reform package (See Release No. IC-29132 [75 FR 10060]), the EDGAR system will deploy new submission types N-MFP and N-MFP/A to facilitate the electronic filing of the new form. Filers must follow the Form N-MFP XML Technical Specification, available at the “Information for EDGAR Filers” web page on the Commission’s public web site (www.sec.gov/info/edgar.shtml), to construct their Form N-MFP and Form N-MFP/A submissions via the EDGAR Filing Web site (https://www.edgarfiling.sec.gov/) or by clicking the “Are you an EDGARLink filer or would you like to create a new Asset-Backed Securities Issuing Entity?” link from the EDGAR Portal Web site (http://www.portal.edgarfiling.sec.gov).
     
  • The status of a Series or Class will be set to “Inactive” if it has not been updated by filers or referenced in a filing in the past 375 calendar days.
     
  • EDGAR Filing Web site, EDGAR Filer Management Web site and EDGAR OnlineForms Web site Login pages will display a message warning the filer that they are about to enter a federal computer website.

The filer manual is also being revised to address a change made previously in EDGAR to disseminate the co-registrant information for all investment company notices and orders issued in connection with 1940 Act applications. Prior to this change, only the primary registrant information was disseminated.
