2 On November 24, 2004, the Commission issued an order authorizing among other things, acquisition of all the outstanding shares of NUI Corporation (NUI) by AGL Resources, Inc. (AGL Resources). NUI registered as a holding company under Section 5 of the Public Utility Holding Company Act of 1935 by filing a Notification of Registration on Form U5A upon consummation of the Merger and became a subsidiary of AGL Resources. 3 Central and South West Corporation changed its name to AEP Utilities, Inc. See American Electric Power Company, Inc.'s Annual Report on Form U5S filed with the Commission on April 30, 2004.
4 On December 28, 2004, the Commission issued an order authorizing, among other things, registration of Black Hills Corporation (Black Hills) as a holding company under Section 5 of the Public Utility Holding Company Act of 1935. Black Hills registered as a holding company under the Act by filing a Notification of Registration on Form U5A with the Commission upon the issuance of the Commission’s order in this matter. E.ON UK plc changed its name to E.ON UK Ltd.
Powergen plc changed its name to Powergen Ltd.
Powergen US Investments Corp. changed its name to E.ON US Investments Corp.

6 On October 28, 2003, the Commission issued an order authorizing deregistration of the following registered holding company subsidiaries of E.ON ag: Powergen US Holdings Limited, Powergen US Investments, Powergen Luxembourg Holdings sarl and Powergen Luxembourg sarl. See Holding Co. Act Release No. 35-27745 (October 28, 2003).
7 On December 29, 2003, the Commission issued an order authorizing among other things the change in corporate and ownership structure of LG&E Energy Corp.(now called LG&E Energy LLC), a subsidiary of E.ON ag. Upon consummation of this transaction, the new LG&E Energy LLC registered as a holding company under Section 5 of the 1935 Act. LG&E Energy LLC filed a Notification of Registration on Form U5A on December 30, 2003. See Holding Co. Act Release No. 35-27785 (December 29, 2003).
8 On November 22, 2004, the Commission issued an order authorizing deregistration of the following registered holding company subsidiaries of E. ON Ag: E. ON UK Holding GmbH (formerly: E. ON UK Verwaltungs GmbH), E. ON UK Ltd (formerly E. ON UK plc), and Powergen Limited (formerly Powergen plc). See Holding Co. Act Release No. 35-27915 (November 22, 2004).”
9 On March 9, 2004, Enron Corp. registered as public-utility holding company with the U.S. Securities and Exchange Commission by filing a notification of registration on Form U5A under Section 5 of the Public Utility Holding Company Act of 1935. See also Holding Co. Act Release Nos. 27809, 27810, and 27811 (March 9, 2004).
10 On April 1, 2004, the Commission issued an order authorizing among other things, de-registration of Exelon Generation Company, LLC (Genco) and PECO Energy Power Company (PEPCO) under Section 5(d) of the Public Utility Holding Company Act of 1935. The order states that PEPCO, previously an electric utility company and a registered holding company, along with its public utility subsidiary Susquehanna Power Company and Genco’s public utility subsidiary, Susquehanna Electric Company were converted into exempt wholesale generators (“EWGs”), as that term is defined in Section 32 of the Act. As a result, Genco and PEPCO no longer have any public utility company subsidiaries as of March 22, 2004. See Exelon Corporation, et al., Holding Co. Act Release No. 35-27830 April 1, 2004).
11 On August 1, 2003, the Commission issued an order authorizing deregistration of the following registered holding company subsidiaries of National Grid Transco plc: National Grid (US) Investments; National Grid (Ireland) 1 Limited; National Grid (Ireland) 2 Limited; and National Grid Holdings One plc. See Holding Co. Act Release No. 27704, International Series Release No. 1271 (August 1, 2003).
12 On October 22, 2003, the Commission issued an order authorizing deregistration of Conectiv Energy Holding Company and ACE Reit Inc., which were registered holding company subsidiaries of Pepco Holdings Inc. See Holding Co. Act Release No. 35-27741 (October 22, 2003).
13 On December 30, 2004, the Securities and Exchange Commission issued an order authorizing, among other things, registration of PNM Resources, Inc. (“PNM Resources”) as a holding company under Section 5 of the Public Utility Holding Company Act of 1935. PNM Resources registered as a holding company under the Act by filing a Notification of Registration on Form U5A with the Commission upon the issuance of Commission’s order. See Holding Co. Act Release No. 35-27934 (December 30, 2004). See also PNM Resources Inc.’s Form U5A (December 30, 2004).
14 On February 6, 2004, Scottish Power plc filed with the U.S. Securities and Exchange Commission an amendment to its previously filed notification of registration on Form U5A/A. In this amendment Scottish Power plc notifies the Commission that it registers its subsidiaries Scottish Power NA 1 Limited; Scottish Power NA 2 Limited, NA General Partnership, and PacifiCorp Holdings Inc. under Section 5 of the Public Utility Holding Company Act of 1935.
