Subject: Comment on proposed rule S7-16-07

Dear Chairman Cox: It distresses me greatly to learn that the SEC may promulgate rules that take away or limit shareholder rights to submit advisory resolutions. I believe the existence of these rights to be absolutely fundamental, and I find it breathtaking that any notion of eliminating or restricting them has even been whispered. I urge you most strongly to leave in place these important rights--rights which have been largely responsible for some of the most healthful reforms of recent years. I would greatly appreciate hearing from you what your personal views are on the rights of small as well as large shareholders to propose advisory resolutions. Respectfully, Marcia Rucker
