This is a no brainer. It is illegal and does not benefit the shareholder. Does this ring a bell: "The mission of the U.S. Securities and Exchange Commission is to protect investors", http://www.sec.gov/about/whatwedo.shtml .
Bottom Line: Eliminate the Grand Father Clause NOW.
