No action would be better than the proposed regulations. No doubt that allowing general solicitations will result in some cases of fraud and other abuses. Adding a heavy blanket of new rules only feeds the fee revenues of law firms and does not protect investors or companies.
What is wrong with the current system anyway? There is no shortage of capital for new ideas and retail investors already have thousands of investment choices they do not understand.
