5. Performance options granted under the 2003 Long Term Incentive Plan of C. R. Bard, Inc. (as Amended and Restated). Also granted in tandem with these options are Limited Stock Appreciation Rights which can only be exercised upon a "Change of Control" as defined in the Plan.
