EXPLANATORY NOTE

On June 29, 2015, we filed a Current Report on Form 8-K (the “Original Form 8-K”) to provide a recast of our consolidated financial statements on Form 10-K for the year ended December 31, 2014 to reflect changes due to the discontinued operations of SunEdison Semiconductor, Ltd.
We are filing this Amendment No. 1 (the “Amendment”) on Form 8-K/A solely to include the signature page that was inadvertently omitted in the Original Form 8-K and to correct errors in the interactive data files in the XBRL exhibits.  The information previously reported in the Original Form 8-K is hereby incorporated by reference into this Amendment. Except for the inclusion of the omitted signature page and the revised XBRL exhibits, all other information included in the Original Form 8-K is unchanged.
