Explanation of Responses:
1. On November 20, 2009, 317,204 restricted stock units were awarded pursuant to the MEMC Electronic Materials, Inc. Special Inducement Grant Plan and in a transaction intended to qualify as an exempt transaction under Rule 16b-3. Each restricted stock unit represents a contingent right to receive one share of MEMC common stock. The 317,204 restricted stock units are performance-based vesting, and the performance objectives were achieved on December 31, 2011. As a result, 104,677 shares vested on December 31, 2011. 107,849 shares previously vested on January 31, 2011, and the remaining restricted stock units vest, if the reporting person is still employed by the issuer, as follows: 104,678 shares on December 31, 2012.
2. Price is not applicable to acquisitions resulting from the conversion of restricted stock units.
3. Surrender of shares in payment of tax witholding due as a result of the vesting of 104,677 RSUs granted in accordance with Rule 16b-3.
