Explanation of Responses: |
1. These shares are unrestricted shares granted under the Borders Group, Inc. 2004 Long-Term Incentive Plan. They constitute a portion of the fees payable for services as a Director during the year 2010. |
2. On May 20, 2010 Borders Group, Inc., a Michigan corporation (the "Issuer") entered into a Securities Purchase Agreement with LeBow Gamma Limited Partnership, a Delaware limited partnership (the "Purchaser"), pursuant to which the Purchaser acquired 11,111,111 common shares of the Issuer. Under the terms of the Securities Purchase Agreement, the Issuer was required to, among other things, take all actions to elect two directors designated by the Purchaser to the Issuer's board of directors, and effective May 21, 2010, in accordance with the foregoing, Mr. Lorber was elected as a director of the Issuer. This report shall not be deemed an admission that Mr. Lorber is the beneficial owner of, or has any pecuniary interest in, any securities of the Issuer, other than the 12,328 shares issued to him on 6/17/2010, for the purposes of Section 16 of the Securities Exchange Act of 1934, as amended, or for any other purpose. |
