Explanation of Responses:
1. Includes 20,000 Restricted Stock Units initially reported as Common Stock in Table 1 of Form 4 filed on April 23, 2003.
2. Disposed of pursuant to merger agreement among issuer, Vulcan Energy Corporation and Prime Time Acquisition Corporation in exchange for an equity interest in Vulcan Energy common stock having an aggregate value of approximately $19.2 million on the effective date of the merger.
3. All of the options held by the reporting person were cancelled in the merger in exchange for options to acquire the common stock of Vulcan Energy Corporation with such options having an aggregate value of approximately $5.4 million on the effective date of the merger.
