Item 5.03 – Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective January 20, 2020, the Board of Directors of Stanley Black & Decker, Inc. (the “Company”) approved an amendment to the Amended and Restated Bylaws of the Company to lower the threshold ownership requirement to call a special meeting of the shareholders from 35% to 25% of the voting power of all shares entitled to vote on any issue proposed to be considered at the meeting.
