1. Owned by a trust of which Mr. Abdo is the Trustee and Beneficiary.

2. BFC Financial Corporation ("BFC") owns 800,000 shares of the issuer's Series B Convertible Preferred Stock, which is convertible at any time in BFC's discretion into an aggregate of 1,578,943 shares of the issuer's Common Stock. Mr. Abdo is the Vice Chairman of the Board of Directors of, and may be deemed to be control, BFC, but Mr. Abdo disclaims any pecuniary interest in or beneficial ownership of the shares of the issuer's Series B Convertible Preferred Stock owned by BFC.
