Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers. On January 19, 2007, David B. Levi announced his resignation, effective immediately, from the Board of Directors (the "Board") of Voxware, Inc. (the "Company"). Mr. Levi also resigned as chairman and member of the Audit Committee of the Board and member of the Compensation Committee of the Board. The resignation did not result from a disagreement with the Company on any matter relating to the Company's operations, policies or practices.
