FIRST: Under a power contained in Article FIFTH of the Charter (the “Charter”) of the Corporation, and pursuant to Section 2-208 of the Maryland General Corporation Law, the Board of Directors of the Corporation (the “Board of Directors”), by resolutions duly adopted at a meeting duly called and held, classified 250,000,000 undesignated shares of common stock, par value $.001 per share (the “Common Stock”), as shares of iShares MSCI Emerging Markets Investable Market Index Fund, with the preferences, conversion and other rights, voting powers, restrictions, limitations as to dividends and other distributions, qualifications and terms and conditions of redemption of a series of Common Stock as set forth in the Charter.
