Item 8.01    Other Events.
On December 26, 2019, WESCO International, Inc. (the “Company”) issued a press release (the “Acquisition Proposal Press Release”) announcing that it has improved its proposal to acquire Anixter International Inc.
Also on December 26, 2019, the Company issued a press release announcing preliminary sales for the quarter-to-date period and confirming its full-year sales outlook (the “Sales and Outlook Press Release”).
Copies of the Acquisition Press Release and of the Sales and Outlook Press Release are filed as Exhibit 99.1 and Exhibit 99.2 to this Current Report on Form 8-K and are incorporated herein by reference.
