Because of the Registrant's entry into new business relationships and the alteration of existing business relationships, the accounting work necessary to prepare the consolidated financial statements required for the period ended June 30, 2006, and the review of the Registrant's consolidated financial statements by its independent accounts could not be completed before the filing deadline without unreasonable effort or expense.
