The joint venture agreement between these parties contains certain restrictions on the transfer of the stock of the joint venture. The operations of ITG-Phong Phu Ltd., Co. have been deconsolidated as of May 25, 2012 as a result of the Enforcement Agreement described elsewhere herein.
