Explanation of Responses:

1. Includes Options issued to 1997 Non-Employee Director's Stock Option Plan (the "1997 Plan") and options issued pursuant to 2000 Directors' Stock Option Plan (the "2000 Plan"). Under the 1997 plan, the reporting person was granted 5,000 options on each of the following dates September 19,1997, September 18, 1998, and September 19, 1999. Under the 2000 Plan, the reporting person was granted 7,500 options each year on the following dates September 25, 2000, December 7, 2001, and September 20, 2002.

2. The options granted under each non-employee directors' stock option plan expire 10 years after the grant date.
