Explanation of Responses:

1. Shares acquired as part of 2,185,430 shares issued and $1.3 million cash paid by Jameson Inns, Inc. to acquire member interests in limited liability company having an aggregate estimated value of $7.9 million.

2. Part of 61,500 shares contributed to Kitchin Residential Construction Company, LLC and then transferred to key employees of Kitchin Residential as bonus compensation.
