Explanatory Note

On April 17, 2019, C&F Financial Corporation (the Corporation) filed a Current Report on Form 8-K (the “Original 8-K”) to report on proposals submitted to a vote of the Corporation’s shareholders at its annual meeting of shareholders, which was held on April 16, 2019.  The purpose of this amendment to the Original 8-K is to report the frequency adopted by the Corporation for future advisory votes to approve the compensation of the Corporation’s named executive officers.  Except for the addition of the information reported below, no other changes have been made to the Original 8-K.

Item 5.07Submission of Matters to a Vote of Security Holders

On June 13, 2019, in light of the recommendation of the Corporation’s shareholders at its annual meeting of shareholders of a frequency of “Every 1 Year,” the Board of Directors of the Corporation adopted a frequency of “Every 1 Year” for future advisory votes to approve the compensation of the Corporation’s named executive officers.  This frequency will be used until the next advisory vote of shareholders on such frequency in 2025.
