Explanation of Responses:
1. On May 3, 2004, Warburg, Pincus Equity Partners, L.P., a Delaware limited partnership, and certain affiliated entities (collectively, "WPEP"), distributed 2,499,995 shres of common stock of Newfield Exploration Company (the "Company") to its partners. Mr. Newman received 500 shares in this distribution. Warburg, Pincus & Co., a New York general partnership ("WP"),, is the general partner of WPEP and Warburg Pincus LLC (f/k/a E.M. Warburg, Pincus & Co., LLC), a New York limited liability company ("WPLLC"), manages WPEP. Mr. Newman, a director of the Company, is a partner of Warburg Pincus & Co. and a Vice Chairman and member of WPLLC. As such, Mr. Newman may be deemed to have an indirect pecuniary interest (within the meaning of Rule 16a-1 of the Securities Exchange Act of 1934) in an indeterminate portion of the 450,005 shares beneficially owned by WPEP. Mr. Newman disclaims beneficial ownership of the Company shares held by WPEP.
2. These securities (the "Ventures Shares") are owned by Warburg, Pincus Ventures, L.P., a Delaware limited partnership ("Ventures"). The sole general partner of Ventures is WP. WPLLC manages Ventures. Mr. Newman, a director of the Company, is a general partner of WP and a Vice Chairman and member of WPLLC. Mr. Newman may be deemed to have an indirect pecuniary interest (within the meaning of Rule 16a-1 of the Securities Exchange Act of 1934) in an indeterminate portion of the Ventures Shares beneficially owned by Ventures. Mr. Newman disclaims beneficial ownership of the Ventures Shares.
