This Amendment No. 12 to Schedule 13D (this “Amendment”) is filed by and on behalf of each of the Reporting Persons to amend the Schedule 13D related to the common stock of the issuer (the “Common Stock”) previously filed by the Reporting Persons with the Securities and Exchange Commission (the “Commission”) on February 15, 2008, as amended and/or supplemented by Amendment No. 1 to the Schedule 13D filed on March 4, 2008, Amendment No. 2 to the Schedule 13D filed on March 18, 2008, Amendment No. 3 to the Schedule 13D filed on August 10, 2010, Amendment No. 4 to the Schedule 13D filed on August 31, 2011, Amendment No. 5 to the Schedule 13D filed on June 29, 2012, Amendment No. 6 to the Schedule 13D filed on August 1, 2013, Amendment No. 7 to the Schedule 13D filed on August 20, 2013, Amendment No. 8 to the Schedule 13D filed on November 14, 2013, Amendment No. 9 to the Schedule 13D filed on January 29, 2014, Amendment No. 10 to the Schedule 13D filed on January 30, 2014, and Amendment No. 11 to the Schedule 13D filed on February 5, 2014 (as amended, the “Schedule 13D”). This Amendment reflects changes to beneficial ownership as a result of the disposition of shares of Common Stock by the Reporting Persons. Each capitalized term used and not defined herein shall have the meaning assigned to such term in the Schedule 13D. Except as otherwise provided herein, each Item of the Schedule 13D remains unchanged. This Amendment constitutes an “exit filing” with respect to the Schedule 13D for the Reporting Persons.

 

Item 3. Source and Amount of Funds or Other Consideration.

Item 3 of the Schedule 13D is hereby amended and restated in its entirety as follows:

“Through February 13, 2014, Becker Drapkin QP and Becker Drapkin LP had acquired an aggregate of 7,008,344 shares of Common Stock in multiple open market and private transactions for an aggregate purchase price of $11,003,682.21 (including commissions). The source of funds for those purchases of Common Stock was the general working capital of Becker Drapkin QP and Becker Drapkin LP.

In addition, Becker has acquired an aggregate of 167,889 shares of Common Stock and may be deemed, under Rule 13d-3 of the Exchange Act, to beneficially own 71,021 shares of Common Stock that may be acquired within 60 days of the date of this Amendment pursuant to stock options, which are reported herein. The shares of Common Stock and related options were acquired in multiple awards from the issuer and open market transactions for an aggregate purchase price of $233,192.13 (including commissions). The source of funds for the purchase of Common Stock was Becker’s personal funds.

However, in a private transaction on October 19, 2015, Becker Drapkin QP and Becker Drapkin LP sold to B. Riley & Co., LLC an aggregate of 6,266,000 shares of Common Stock at a price of $1.20 per share, the opening price on October 19, 2015, and now hold and aggregate of 742,344 shares of Common Stock.”

 

Item 4. Purpose of Transaction.

Item 4 of the Schedule 13D is hereby amended and supplemented as follows:

“In a private transaction on October 19, 2015, Becker Drapkin QP and Becker Drapkin LP sold to B. Riley & Co., LLC an aggregate of 6,266,000 shares of Common Stock at a price of $1.20 per share, the opening price on October 19, 2015.”

Item 5 of the Schedule 13D is hereby amended and restated in its entirety as follows:

“(a) Each Reporting Person declares that neither the filing of this statement nor anything herein shall be construed as an admission that such person is, for purposes of Section 13(d) or 13(g) of the Act or any other purpose, the beneficial owner of any securities covered by this statement.

Each Reporting Person may be deemed to be a member of a group with respect to the issuer or securities of the issuer for the purposes of Section 13(d) or 13(g) of the Act. Each Reporting Person declares that neither the filing of this statement nor anything herein shall be construed as an admission that such person is, for the purposes of Section 13(d) or 13(g) of the Act or any other purpose, (i) acting (or has agreed or is agreeing to act) with any other person as a partnership, limited partnership, syndicate, or other group for the purpose of acquiring, holding, or disposing of securities of the issuer or otherwise with respect to the issuer or any securities of the issuer or (ii) a member of any syndicate or group with respect to the issuer or any securities of the issuer. Drapkin expressly disclaims beneficial ownership of any shares of Common Stock that are directly owned by Becker.
