Explanation of Responses:

1. On March 19, 2008, the Reporting Person was awarded the right to purchase from the Issuer 2,600 shares of restricted stock at a purchase price of $1.00 per share, in lieu of a cash bonus under the Issuer's 2004 Incentive Stock Plan based on the achievement of certain performance objectives for the year ended December 31, 2007. As reported on the Form 4 filed on behalf of the Reporting Person on March 20, 2008, the Reporting Person has until May 18, 2008 to elect to purchase such shares. This amendment is being filed to reflect the Reporting Person's election not to purchase any of the 2,600 shares of restricted stock and to receive a cash payment in lieu thereof. As of May 13, 2008, the Reporting Person owned 500 shares of Issuer common stock.
