Explanation of Responses:
1. 500,000 shares previously held as directly owned were transferred to establish 2009 GRAT.
2. The Form 4 reflects the sale of 250,000 shares from Mr. Tsimbinos' 2009 GRAT on December 28, 2009 pursuant to a Board-approved Rule 10b5-1 trading plan submitted for Board consideration and approved on August 18, 2009.
3. The price reported in Column 4 is a weighted average price. These shares were sold in multiple transactions at prices ranging from $14.35 to $14.80, inclusive. The reporting person undertakes to provide to New York Community Bancorp, Inc., any security holder of New York Community Bancorp, Inc. or the staff of the Securities and Exchange Commission, upon request, full information regarding the number of shares at each separate price within the ranges set forth in this footnote.
