Explanation of Responses:

1. Shares removed from Badger Meter Officers' Voting Trust following paying off loans granted to purchase the shares. In compliance with new regulations, no loans have been made to officers since July 2002. The reporting person will continue to hold the shares in direct ownership.

2. Shares held in the Badger Meter Officers' Voting Trust were acquired over a period of many years at varying prices.

3. In addition to the 31,536 shares held directly by Mr. Zandron, he also owns 2,600 shares of Restricted Stock and 4,849 shares in the Company's ESSOP.
