Item 7.01. Regulation FD Disclosure.

Sunrise Telecom Incorporated (the “Company”) announced on March 10, 2009 that it is exploring its strategic alternatives in order to enhance stockholder value. The Company is considering alternatives including a sale to a strategic buyer or a private equity fund or a merger with a similarly sized company. Cabrillo Advisors, LLC has been retained as financial advisor to advise the Company.

A copy of the press release issued by the Company with respect to this matter is attached as Exhibit 99.1 to this Current Report on Form 8-K.
