Each share of the issuer’s Class A Common Stock entitles its holder to one vote. Accordingly, the shares reported as beneficially owned by Mr. Brehm represent 14.6% of the combined voting power of the issuer’s Class A and Class B Common Stock as of December 31, 2005.

(2) Includes 262,480 shares of Class A Common Stock and 418,455 shares of the issuer’s Class B Common Stock held by grantor retained annuity trusts for the benefit of members of Mr. Brehm’s family of which Mr. Brehm or his wife is a trustee.
