Explanation of Responses:

1. Disposed of pursuant to Agreement and Plan of Merger dated December 21, 2011 (the "Merger Agreement"), among the issuer, Cod Intermediate, LLC and Cod Merger Company, Inc., for merger consideration of $6.50 per share.

2. This stock option, which had fully vested, was cancelled in connection with the Merger Agreement. No compensation was paid to the reporting person as the exercise price of the stock option exceeded the merger consideration.
