Chesapeake Energy Corporation (the Company) is unable to file, without unreasonable effort or expense, its Quarterly Report on Form 10-Q for the period ended March 31, 2012 (the Form 10-Q). Additional time is needed for the Company to compile and analyze supporting documentation in order to complete the Form 10-Q and in order to permit the Companys independent registered public accounting firm to complete its review of the unaudited condensed consolidated financial statements included in the Form 10-Q. The Company intends to file the Form 10-Q later today May 11, 2012.

In the Companys earnings release issued on May 1, 2012 and furnished as an exhibit to its Current Report on Form 8-K filed with the Securities and Exchange Commission on May 2, 2012, for the three months ended March 31, 2012, the Company reported a net loss available to common stockholders of $71 million ($0.11 per fully diluted common share) on revenue of $2.419 billion. For the three months ended March 31, 2011, the Company reported a net loss available to common stockholders of $205 million ($0.32 per fully diluted common share) on revenue of $1.612 billion.
