Item 7.01 Regulation FD Disclosure.

On August 31, 2005, RailAmerica, Inc., issued a press release, attached hereto as Exhibit 99.1, concerning a rail car containing styrene located on RailAmerica’s Indiana & Ohio Railway property in Cincinnati, Ohio which began venting on August 28, 2005 due to a chemical reaction.
