PART III — NARRATIVE

State below in reasonable detail the reasons why Forms 10-K, 20-F, 11-K, 10-Q, 10-D, N-SAR N-CSR, or the transition report or portion thereof, could not be filed within the prescribed time period.

On November 8, 2010, the Company filed a voluntary petition for relief under chapter 11 of title 11 of the United States Bankruptcy Code in the United States Bankruptcy Court for the Southern District of New York. The Company is currently evaluating the need for additional and/or modification of disclosure in its Form 10-Q as a result of such filing. As a result, the Company is unable to file its Form 10-Q for the nine months ended September 30, 2010 by the prescribed due date without unreasonable effort or expense.

The registrant does not anticipate any significant change in the results of operations from that reported by the registrant on November 9, 2010 in a press release announcing its operating results for the quarter ended September 30, 2010.
