Explanation of Responses:

1. Disposed of pursuant to a merger agreement among Issuer, DSW Inc. ("DSW") and DSW MS LLC (the "Merger"). Each outstanding common share of Issuer was converted into the right to receive 0.435 DSW Class A common shares having a market value of $49.92 per share on the effective date of the Merger.

2. This option was assumed by DSW in the Merger and was replaced with an option to purchase 0.435 DSW Class A common shares for each option to purchase common shares of the Issuer, having an exercise price calculated by dividing the exercise price in Table II, Item 2 by 0.435.
