Section 7 – Regulation FD

Item 7.01.                      Regulation FD Disclosure.

PTC has previously announced that it expects to repurchase approximately $55 million worth of its shares in the second half of its fiscal year ending on September 30, 2011 under its existing repurchase program.  In connection with such plan, on May 6, 2011, PTC entered into a Rule 10b5-1 Repurchase Plan with a broker pursuant to which repurchases will be made.
