Explanation of Responses:
1. The reporting person is affiliated with and managed by St. Paul Venture Capital, Inc. ("SPVC, Inc."). SPVC, Inc. is also affiliated with and the manager of St. Paul Venture Capital IV, LLC ("SPVC IV") and St. Paul Venture Capital V, LLC ("SPVC V"). SPVC, Inc. also is the manager of all shares held directly by St. Paul Fire and Marine Insurance Company ("St. Paul"). St. Paul owns 99% of the membership interests of the reporting person, SPVC IV and SPVC V, and has appointed a majority of the members of the board of directors of the reporting person, SPVC IV, SPVC V and SPVC, Inc., and may therefore be deemed to be the beneficial owner of the shares. The reporting person, SPVC IV, SPVC V and St. Paul collectively held more than 10% of the outstanding securities of the Issuer prior to the transactions reported herein.
2. Represents number of shares owned after giving effect to the net exercise of the warrant on November 11, 2003 and the sale of shares on November 10, 2003.
