Explanation of Responses:
1. Disposition to the Issuer of restricted stock initially granted to Mr. Tate, as a member of the board of directors, on January 1, 2008. Incremental vesting commenced on Februray 1, 2008 at 1/12th per month (200 shares). Pursuant to the terms of the grant, Mr. Tate retains increments vested prior to his resignation from the board.
2. Beneficial ownership includes: (a) 3,500 shares of restricted stock granted upon Mr. Tate's entry into an employment agreement with the company effective March 31, 2008, vesting in three equal annual installments commencing March 31, 2009, and (b) 600 shares of fully vested restricted stock granted to Mr. Tate on January 1, 2008, as described in footnote 1.
3. The stock option vests and becomes exercisable in three equal annual installments commencing March 31, 2009.
Remarks:
Mr. Tate resigned his position as a member of the board of directors and accepted the position of Chief Operating Officer of the Company, effective March 31, 2008.
