Explanation of Responses:

1. The Initial Report in Form 3 of the Reporting Person declared direct beneficial ownership over 4,800,000 shares of Common Stock. On March 15, 2007, the transaction by which the 4,800,000 shares of Common Stock were to have been purchased by the Reporting Person was rescinded and the 4,800,000 shares were returned to the Issuer without ever having been paid for. Therefore these shares were never purchased or sold by the reporting person.

2. The Warrant is exercisable for up to 50% of the number of shares of Common Stock outstanding from time to time and vests as to one share of Common Stock for each $0.40 of gross profits allocated to the Reporting Person from business provided to the Issuer by the Reporting Person or its affiliates.
