Explanation of Responses:
1. On April 28, 2006, John F. Connors III received 12,207 shares of Quipp, Inc. common stock pursuant to a contingent consideration provision in the Share Purchase Agreement, dated as of August 10, 2005, among Quipp, Inc., John F. Connors III and Terence B. Connors (the "Purchase Agreement") in connection with the purchase by Quipp, Inc. of Newstec, Inc., a Massachusetts corporation ("Newstec"), by Quipp, Inc. The shares were issued after Newstec's 2005 revenues exceeded a specified amount.
2. For purposes of computing the number of shares to be delivered, the price per share of the Quipp, Inc. common stock was based on the average of the closing prices of the Quipp, Inc. common stock during a period of 20 consecutive trading days ending on the tenth trading day in 2006. In accordance with the Purchase Agreement, the Company issued to the sellers an aggregate of 24,414 shares of Quipp, Inc. common stock, or 12,207 shares of common stock to each of John F. Connors III and Terence B. Connors, with a fair value of approximately $250,000, or approximately $10.24 per share, as additional consideration.
