Item 5.02 Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

     On January 9, 2006, Aneesh P. Chopra resigned from the Board of Directors of Healthaxis Inc. (the “Company”) effective immediately. Mr. Chopra indicated that he has no disagreement with the Company on any matter, but is resigning as a result of his appointment to a senior level cabinet position in the State Government of Virginia.
